Preparation for New Tender. If Transnet elects, as entitled to under this Agreement, to tender the Concession prior to the Expiry Date, then the Concessionaire, if and to the extent so requested by Transnet, shall provide Transnet and its representatives and advisers with reasonable access to its employees, contractors and sub-contractors of any tier and the books, records and other material kept by or on behalf of the Concessionaire or its contractors of any tier in connection with the Concession in relation to operational information pertaining to, inter alia, freight volumes, customer information, fleet details, asset registers and asset condition, for the purpose of such representatives and advisers preparing any reports or other documents in connection with any invitation to potential succeeding Concession operators to tender for the right and obligation to provide or operate all or part of the Concession. The Parties record, however, that no access contemplated in this clause shall entitle Transnet or any prospective tenderer to have access to or allow access to any information of the Concessionaire that may be confidential in nature. The Concessionaire shall make available to Transnet and its representatives and advisers such information, and shall assist in the verification of such information (including the provision of answers to verification questions), as they shall reasonably require in connection with such exercise. In addition, the Concessionaire shall co-operate with any potential succeeding Concession operators and allow them reasonable access to the Railway Land and Rail Infrastructure for the purposes of due diligence.

  • Acceptance of Appointment; Standard of Performance Adviser accepts the appointment as discretionary portfolio manager and agrees to use its best professional judgment to make timely investment decisions for the Fund in accordance with the provisions of this Agreement.

  • Offer and Acceptance of Weekend Overtime (a) The Employer is committed to providing reasonable notice to Employees of an offer / cancellation of weekend overtime. To this end, notice will generally be provided prior to the normal meal break on Thursday. Where the Employer is unable to give such notice the Employer may offer I cancel such overtime by notifying affected Employees before the finish time of ordinary hours on Friday. (b) Overtime will be offered on a work required basis. (c) Employees who accept an offer of weekend overtime will be obliged to attend. However, Employees may find themselves unable to fulfil their commitment to attend site. Such Employees will notify the Employer before the planned finishing time on Friday. (d) An Employee may refuse to work weekend overtime if the requirement to do so is plainly unreasonable having regard to: (i) the hours of work that will be worked by that Employee in the week of the weekend overtime; (ii) the amount of weekend overtime worked by the Employee within the previous six weeks; (iii) the Employee’s family responsibilities; and (iv) any other special circumstances peculiar to the Employee.

  • Assistance by COUNTY STAFF 1.3.1. County shall assign an appropriate staff member to work with A-E in connection with the work of this Contract. Said staff member's duties will consist of the giving of advice and consultations, assisting A-E in negotiations with other public agencies and private parties, miscellaneous items which in the judgment of A-E or County's staff warrant attention, and all other duties as may be described in Attachment A. 1.3.2. Grantee shall take reasonable steps to provide services and information both orally and in writing, in appropriate languages other than English, to ensure that persons with limited English proficiency are effectively informed and can have meaningful access to programs, benefits and activities. Grantee shall identify and document on the client records the primary language/dialect of a client who has limited English proficiency and the need for translation or interpretation services and shall not require a client to provide or pay for the services of a translator or interpreter. C. Grantee shall make every effort to avoid use of any persons under the age of 18 or any family member or friend of the client as an interpreter for essential communications with a client with limited English proficiency, unless the client has requested that person and using the person would not compromise the effectiveness of services or violate the client’s confidentiality and the client is advised that a free interpreter is available.
