Preparation of documentation etc. 2.6.1 Each of the Offerors and Tone Resources shall proceed diligently, in a coordinated fashion and use their respective commercially reasonable efforts to cooperate in the preparation of the Information Circular as described in Section 2.5, any exemption applications or orders and any other documents deemed reasonably necessary by any of them to discharge its obligations under applicable Laws in connection with the Arrangement. 2.6.2 Each of the Offerors and Tone Resources shall furnish to the other Parties, on a timely basis, all information required to effect the foregoing actions, and each covenants that no information so furnished by it in writing in connection with those actions or otherwise in connection with the consummation of the Arrangement will contain any Misrepresentation. Each of the Parties will ensure that the information relating to it which is provided in the Information Circular will not contain any Misrepresentation. 2.6.3 Each of the Offerors and Tone Resources shall promptly notify the other Parties if, at any time before the Effective Time, it becomes aware that the Information Circular contains a Misrepresentation or that otherwise requires an amendment or supplement to the Information Circular. In any such event, each of the Parties will cooperate in the preparation of a supplement or amendment to the Information Circular, as the case may be, that corrects that Misrepresentation, and Tone Resources will cause the same to be distributed to the Securityholders and filed as required under applicable Law. 2.6.4 Tone Resources shall ensure that the Information Circular complies with all applicable Laws and, without limiting the generality of the foregoing, that the Information Circular does not contain a Misrepresentation (except that this covenant does not apply to any information provided by the Offerors for use therein). The Offerors shall ensure that no information regarding the Offerors, or their respective subsidiaries, directors, officers and shareholders delivered to Tone Resources for inclusion in the Information Circular contains a Misrepresentation. Without limiting the generality of the foregoing, Tone Resources shall ensure that the Information Circular provides the Securityholders with information in sufficient detail to permit them to form a reasoned judgment concerning the matters to be placed before them at the Meeting.

Preparation of documentation etc. The Vendor shall prepare, deliver, revise and update all documentation including reports, programs, planning and manuals as specified in the Contract. The Vendor must also implement tests etc. as specified in the Contract. General requirements The documentation shall include (but is not limited to): User manual To be drafted and prepared with the purpose to: Ensure correct, optimal and safe use and operation of the Equipment Safeguard failures or defective operation that may harm or damage the Equipment. Ensure the safety of users, patients and third parties. Ensure flawless functionality of the Equipment in accordance with the intended use. Operation and Maintenance manual To be drafted and prepared with the purpose to ensure correct daily cleaning, maintenance and service so that the Equipment through these procedures retains its full functionality and can be operated correctly and safely for both users and patients. Service manual The Service manuals shall include all control test procedures and service instructions as well as adjustment and maintenance instructions that are needed to undertake the full service of the Equipment Further, the service manuals shall correspond to the information that the manufacturer makes available to the Vendor's own service technicians. Technical manuals and software manuals The technical manuals shall include a specification of the Equipment and its components including diagrams, drawings etc. Further, the Technical manuals and software manuals shall correspond to the information that the manufacturer makes available to the Vendor's own service technicians.

  • Execution of Documents, Etc (a) Actions by each Fund. Upon request, each Fund shall execute and deliver to the Custodian such proxies, powers of attorney or other instruments as may be reasonable and necessary or desirable in connection with the performance by the Custodian or any Subcustodian of their respective obligations to such Fund under this Agreement or any applicable subcustodian agreement with respect to such Fund, provided that the exercise by the Custodian or any Subcustodian of any such rights shall in all events be in compliance with the terms of this Agreement.

  • PUBLICATION OF DOCUMENTS The Parties acknowledge that the District is required to publish the Application and its required schedules, or any amendment thereto; all economic analyses of the proposed project submitted to the District; and the approved and executed copy of this Agreement or any amendment thereto, as follows: A. Within seven (7) days of receipt of such document, the District shall submit a copy to the Comptroller for publication on the Comptroller’s Internet website; B. The District shall provide on its website a link to the location of those documents posted on the Comptroller’s website; C. This Section does not require the publication of information that is confidential under Section 313.028 of the TEXAS TAX CODE.

  • Reproduction of Documents This Agreement and all schedules, exhibits, attachments and amendments hereto may be reproduced by any photographic, photostatic, microfilm, micro-card, miniature photographic or other similar process.   • Approval of Documentation The form and substance of all certificates, instruments, opinions, and other documents delivered to Buyer under this Agreement shall be satisfactory in all reasonable respects to Buyer and its counsel.

  • Inspection of Documents Consulting Engineer/Architect shall maintain all Project records for inspection by City during the contract period and for three (3) years from the date of final payment.

  • Electronic Execution of Documents The words “execution,” “signed,” “signature” and words of like import in any Loan Document shall be deemed to include electronic signatures or the keeping of records in electronic form, each of which shall be of the same legal effect, validity and enforceability as a manually executed signature or the use of a paper-based recordkeeping systems, as the case may be, to the extent and as provided for in any applicable law, including, without limitation, any state law based on the Uniform Electronic Transactions Act.
