Maintenance and Service. (a) DISTRIBUTOR shall be responsible for the installation, timely maintenance and service to users of PRODUCTS; and shall perform such responsibilities in a satisfactory manner to maintain and enhance HITEL’s and the PRODUCTS’ respective good name and reputations. Maintenance, services and consultation as provided by DISTRIBUTOR technicians at customer locations are referred to as first level support. Maintenance, services and consultation as provided by DISTRIBUTOR technical experts at a centralized location providing support to the first level support technicians are referred to as second level support. Both first and second level support is the responsibility of DISTRIBUTOR. For this purpose, DISTRIBUTOR shall maintain or have contracted with a number of competent Hitachi Certified technicians, as defined in Exhibit B, who are readily accessible to end users. DISTRIBUTOR shall, at its own expense, maintain the technical level of its staff to provide PRODUCT technical support in performing all of its activities under the Agreement. DISTRIBUTOR shall also maintain an adequate inventory of parts and equipment, in accordance with Exhibit E hereof, to maintain satisfactory operation of PRODUCTS being used by its customers, without relying upon urgent supplies from HITEL. (b) DISTRIBUTOR acknowledges that failure to fulfill its obligations under subparagraph (a) could irreparably damage the business reputation of PRODUCTS, and that HITEL, upon fifteen (15) days notice (one (1) day notice if system is not processing calls), may take corrective measures as may in HITEL’s discretion be required, holding DISTRIBUTOR fully responsible for cost and expenses thereof, if DISTRIBUTOR has not initiated appropriate corrective measures within the fifteen (15) days (one (1) day if system is not processing calls), following notice by HITEL. (c) HITEL shall have access to customers at any time to review DISTRIBUTOR’S installation and maintenance performance and degree of customer satisfaction, and DISTRIBUTOR shall take such remedial action and/or make such improvements in service as may be reasonably requested by HITEL in writing. HITEL may request references from customers in connection with the promotion of HITEL sales. HITEL, in its sole discretion: may provide customers with PRODUCT or system passwords; or, upon the written request of customer(s), may change PRODUCT or system password(s) without notice to DISTRIBUTOR of the new password(s). Maintenance and Service. You agree that we are not responsible for installation, maintenance, repairs or service to the Equipment. You agree to use the Equipment strictly in the manner for which it is intended by the manufacturer, and you shall maintain the Equipment in good operating order. At the end of the term of the Lease, unless you have been given a written option to purchase the Equipment and you make the purchase, you will be liable for all damage or distress to the Equipment.
Maintenance and Service. It shall be the sole responsibility of CFWH to maintain, operate, insure and service the Six Xxxxxxxx, all in conformity with applicable manufacturer’s, hospital, Governmental and regulatory rules, regulations, guidelines and standards. Nothing herein contained shall obligate CFWH or any of its Affiliates to replace any of the Six Xxxxxxxx should they become inoperable.
Maintenance and Service. Manager shall inspect, maintain and service the Transmission Line in accordance and compliance with (i) Prudent Utilities Practices; (ii) all applicable laws, regulations, authorizations, consents, approvals, variances, orders, licenses, permits and declarations of governmental authorities; (iii) requirements imposed by any utility to whom power is being delivered through the Transmission Line; (iv) all maintenance and service recommendations, requirements or specifications of the manufacturers of components of the Transmission Line as are required to enforce warranty claims against such manufacturers or which are otherwise established by such manufacturers as recommended operating procedures; (v) all maintenance standards with respect, to similar equipment owned or operated by Manager; and (vi) any requirements necessary for the procurement or the maintenance of any insurance policies that the Active Partners shall deem necessary or desirable to maintain with respect to the Transmission Line. For purposes of this Agreement, "Prudent Utilities Practices" shall mean those practices, methods, equipment, specifications and standards of safety and performance, as the same may change from time to time, commonly used in connection with transmission lines in the southwestern region of the United States of a type and size similar to the Transmission Line and recognized as good, safe, and prudent engineering practices in connection with the operation, maintenance, repair, and use of electrical and other equipment, facilities and improvements, of such transmission line, with commensurate standards of safety, performance, dependability, efficiency and economy. Manager shall, on the basis of each such inspection, prepare and deliver to each Partner a report describing the condition of the Transmission Line and setting forth all current maintenance and service requirements with respect to the Transmission Line and all action taken since the preceding inspection, or proposed to be taken prior to the next inspection, with respect to the maintenance and service of the Transmission Line.
Maintenance and Service. Manager shall, at Owner's expense and subject to the limitations set forth in the Budget and the Business Plan, maintain the Property in good repair and condition.
Maintenance and Service i) In return for payment of the maintenance charge, the Company will maintain the Installation in accordance with the installation standard and respond to your emergency calls for assistance. If your Equipment is installed to BS4737 (or its successor,) our response to emergency calls will be within four hours of your request, or before the Equipment needs to be set, unless mutually agreed otherwise. ii) If we have to attend the Premises, or repair the Equipment between routine maintenance visits, It is the customers responsibility to notify Paramount SG of any failures which occur. We will make a charge at our usual rates unless the work is covered by Clause 4 (iii). iii) The annual maintenance charge does not include charges for any replacement parts, including but not limited to; batteries, lamps, cameras, bearings, detectors etc which will be charged in addition to the annual charge and will require written authorisation to replace by the customer. The annual maintenance charge is limited to and includes a one off inspection and report identifying any issues at the time of inspection. Any work required after the annual inspection is not covered under our maintenance contract and would form a separate contract of works. iv) Where the installation is monitored by an Alarm Receiving Centre for direct response by emergency services (eg police or fire brigade), it shall be a condition of such monitoring that an annual contract for Routine Maintenance exists between the Customer and the Company. Routine maintenance visits shall be undertaken by the Company as defined in the Installation Standard or this Contract. v) The scope of maintenance and service shall be limited to that which is practically capable of being performed within the Company’s remit or scope of work(s). vi) The company will undertake one annual or bi-annual maintenance visit to the customer’s premises. The inspection will be limited to that of equipment identified under schedule 116 of our maintenance and service contract. A written report on the condition of the system will then be forwarded to the customer within 14 working days. It is then the customer’s responsibility to act on the report supplied by the company, the company accepts no liability where the customer fails to act; or carry out remedial works including system repairs and changes which have been identified at the time of inspection.

Maintenance and Service. The University shall, except with respect to Housing premises that are destroyed to such an extent as to be uninhabitable: (a) maintain the Housing premises and keep them in a good state of repair and fit for habitation; (b) keep in a good state of repair all fixtures supplied by the University under this Housing Contract or that are added or substituted therefore, reasonable wear and tear thereto excepted; and (c) keep in a good, safe and tenantable state of repair all services for the Housing premises including heating and cooling, hot and cold water, power and other services installed in the Housing premises, and to be supplied by the University under this Housing Contract. If the assigned room becomes uninhabitable by reason of fire, flood or other casualty not caused by the negligence of the Resident or his/her guests, the Housing Fee shall be suspended until the assigned room has been restored to a habitable condition or the Resident is offered an alternate room. Nothing in this Housing Contract shall be construed, however, as requiring the University to repair, rebuild or restore the assigned room. The University shall comply with all applicable legal requirements concerning health and safety relating to the Housing premises. The Resident shall give the University prompt notice of any defects or damage in the assigned room or suite.
Maintenance and Service. The Savvy Vending Operator shall keep the machine properly stocked and maintained on a professional, safe, sanitary and regular basis. The machine service schedule and procedures will conform to all local, state and federal laws.

(This does not apply to exterior ATM Units) (d) Lessor, at its expense, shall be responsible for electrical services for the ATM by providing a dedicated 110-amp line to each ATM. (e) shall be responsible for telephone expense. (f) shall provide all cash services and cash supply, paper loading, and first line maintenance (paper and cash miss feeds) for each ATM.
