Prior Year’s Unpaid Bonus. You will receive a payment for any earned but unpaid Annual Bonus for the calendar year prior to the year in which the Separation Date occurs (the “Prior Year’s Unpaid Bonus”) in an amount determined in good faith by the Board or Compensation Committee based upon the achievement of corporate and/or individual objectives and milestones (less standard payroll deductions and applicable withholdings) in a lump sum on the first regularly-scheduled payroll date following the sixtieth (60th) day after your Separation from Service, provided the Separation Agreement (as discussed in Section 7.8) has become effective; provided further if the Board and Compensation Committee fail to make such good faith determination as of the Separation Date, you will receive a Prior Year’s Unpaid Bonus equal to the target Annual Bonus that you would have been entitled to receive if corporate and/or individual objectives and milestones were achieved at target levels for such calendar year.

  • Salary Benefits and Bonus Compensation 3.1 BASE SALARY. Effective July 1, 2000, as payment for the services to be rendered by the Employee as provided in Section 1 and subject to the terms and conditions of Section 2, the Employer agrees to pay to the Employee a "Base Salary" at the rate of $180,000 per annum, payable in equal bi-weekly installments.
