Producer Indemnification. The Producer agrees to defend and indemnify the Broker, its parents, subsidiaries, affiliates, successors and assigns, and the shareholders, directors, officers, agents and employees of any of them (collectively the “Broker Indemnitees”), against and in respect of any and all claims (not including covered claims made under any policy properly issued in accordance with this Agreement), demands, actions, proceedings, liability, losses, damages, judgments, costs and expenses, including, without limitation, attorneys’ fees, disbursements, court costs, and punitive, exemplary, or compensatory damages, suffered, made or instituted against or incurred by the Broker lndemnitees, or any of them, and which directly or indirectly arise out of or relate to (i) negligence of the Producer or its employees or representatives, in discharging their obligations to the Broker or to policyholders, (ii) failure by the Producer or its employees or representatives to comply with any applicable information privacy laws, and/or (iii) any failure by the Producer or its employees or representatives to perform their obligations under or relating to this Agreement.
Producer Indemnification. Producer shall release, protect, defend, indemnify and hold harmless Midstream Co Group from and against all Losses directly or indirectly arising out of or in connection with bodily injury, death, illness, disease, or loss or damage to property of Producer or any member of Producer Group in any way arising out of or relating to this Agreement, directly or indirectly. THIS RELEASE, DEFENSE AND INDEMNITY OBLIGATION SHALL APPLY REGARDLESS OF FAULT OF MIDSTREAM CO GROUP OR ANY OTHER PERSONS.
Producer Indemnification. Producer hereby agrees to indemnify, defend and hold harmless Anthem, Anthem’s licensors and other business partners (including Anthem) and their respective officers, directors, employees and agents (together, the “Anthem Indemnified Parties”) from and against any and all liability, losses, damages, expenses and costs, including reasonable attorneys’ fees, that the Anthem Indemnified Parties incur as the result of any third party claims arising from or related to any of the following: (i) Producer’s breach of any of the warranties contained in Section 10(a); (ii) Producer’s material breach of any other provision or failure to fulfill any material obligation under this Agreement; (iii) any negligence or misconduct on the part of Producer, its Customers and their employees (including, without limitation, any breach by a Customer employee of the User Agreement); and (iv) the actual or alleged infringement or misappropriation of any third party intellectual property right by the Customer Information posted on the Anthem Site or otherwise transmitted through the Anthem Service by or on behalf of Producer or any Producer employee.
Producer Indemnification. THIS RELEASE, DEFENSE AND INDEMNITY OBLIGATION SHALL APPLY REGARDLESS OF FAULT OF MIDSTREAM CO GROUP OR ANY OTHER PERSONS. Second Amended and Restated Produced Water Services Agreement
Producer Indemnification. Producer shall release, protect, defend, indemnify and hold harmless Gatherer Group from and against all Losses directly or indirectly arising out of or in connection with bodily injury, death, illness, disease, or loss or damage to property of Producer or any member of Producer Group in any way arising out of or relating to this Agreement, directly or indirectly. THIS RELEASE, DEFENSE AND INDEMNITY OBLIGATION SHALL APPLY REGARDLESS OF FAULT OF GATHERER GROUP OR ANY OTHER PERSONS. (EXCEPT THAT IT SHALL NOT APPLY TO THE EXTENT THAT SUCH LOSSES ARE CAUSED BY THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF GATHERER).
Producer Indemnification. Producer agrees to indemnify, defend and hold Licensor and the Licensor Parties harmless from any Claims of any person or persons arising out of or based upon (i) personal injuries, death, and/or property damage suffered by such person or persons resulting directly from the use of, or presence upon, the Property by any Producer Parties, (ii) any act of negligence or willful misconduct by Producer or any Producer Parties, or
Producer Indemnification. Producer shall indemnify, defend, and hold harmless the Company, its partners, agents and employees, and their respective successors and assigns from and against all claims, losses, damages, liabilities, judgments, penalties, fines and expenses, including but not limited to reasonable attorneys' fees and costs, resulting from or arising out of (a) any wrongful or negligent act, error, or omission committed by Producer or its employees in connection with the sale of the Service Warranty Agreements or the activities authorized by this Agreement, (b) any Service Warranty Agreement sold in violation of this Agreement or the Product Guidelines, including but without limitation any claim for benefits arising under such Service Warranty Agreement, or (c) the material breach by Producer of any of the terms of this Agreement.
Producer Indemnification. Producer shall release, protect, defend, indemnify and hold harmless Midstream Co Group from and against all Losses directly or indirectly arising out First Amended and Restated Low Pressure Gas Gathering and Compression Agreement of or in connection with bodily injury, death, illness, disease, or loss or damage to property of Producer or any member of Producer Group in any way arising out of or relating to this Agreement, directly or indirectly. THIS RELEASE, DEFENSE AND INDEMNITY OBLIGATION SHALL APPLY REGARDLESS OF FAULT OF MIDSTREAM CO GROUP OR ANY OTHER PERSONS.

Producer Indemnification. Producer shall, to the fullest extent permitted by law, indemnify, save harmless and defend the Operator, its affiliates, directors, officers, agents and employees against all direct claims, indirect claims, demands, liabilities, judgments, costs, and expenses (including reasonable attorneys' fees) related to property damage, bodily injuries or death suffered by Producer, its employees, agents, and contractors, or by third parties resulting from any act or failure to act by Producer and its employees, agents, contractors in the performance of this Agreement, including Producer's construction, installation, ownership, operation or maintenance of the Facility or the Interconnection Facilities. This Article shall survive any termination of this Agreement.
