Maintenance of the Facility. (a) Seller shall inspect, maintain and repair the Facility, and any portion thereof, in accordance with applicable Prudent Operating Practices. Seller shall maintain and deliver maintenance and repair records of the Facility to Buyer’s scheduling representative upon request.

At all times during the period of use, Licensee shall maintain the condition of the Facility as when LSC made them available to Licensee and shall keep the facility neat, clean, sanitary and in a safe condition. In addition, Licensee shall not permit any of the Licensee Parties to make any alterations to the Facility whatsoever nor any Licensee or Licensee Party to decorate or post any signs on any portion of the Facility without the prior written consent of LSC.

Seller shall comply with Law and Prudent Industry Practice relating to the operation and maintenance of the Facility, the generation and sale of Product, and the disposal and recycling of any equipment associated with the Facility, including without limitation solar panels.

Maintenance of the Facility. Concessionaire shall have the right to suspend receiving and processing of Paunch Waste, if required, for undertaking maintenance or repair of the Project or any part thereof. Concessionaire shall provide EDMC & Concessionaire of one week advance notice of any planned repair or maintenance work on the Project that will result in the suspension of the operations of the Project or a reduction in the capacity of the Project to process the Paunch Waste being supplied by any Concessionaire, provided however, no such notice would be required in the event of any unplanned repair or maintenance caused by an emergency or accident or Force Majeure or any such unforeseeable event. Tentative maintenance schedule shall be provided to EDMC & any such Operator every year in January month of each year. However, during the repair and maintenance work, EDMC will continue to supply entire Paunch Waste Generated at GSH, which shall be either reserved or disposed by the Concessionaire by its own means. Maintenance of the Facility. Lessee shall, following substantial completion of the Project, be responsible for all repair and maintenance of the Project (notwithstanding the right to enforce and collect on any of the Developer’s warranties under the Development Agreement), both interior and exterior and both structural and nonstructural, whether foreseeable or not foreseeable. Lessee shall keep or cause to be kept the foundations, roof and structural portions of the walls of the Project in first-class order, repair and condition. Lessee shall commence required repairs as soon as practicable. Lessee shall at all times keep the Project (including all entrances and vestibules) and all partitions, window and window frames and moldings, glass, store fronts, doors, door openers, fixtures, equipment and appurtenances thereof (including lighting, heating, electrical, plumbing, ventilating and air conditioning fixtures and systems) and other mechanical equipment and appurtenances within the Project and all parts of the Project, in good order, condition and repair and clean, orderly, sanitary, safe and watertight, including but not limited to doing such things as are necessary to cause the Project to comply with applicable laws, ordinances, rules, regulations and orders of governmental and public bodies and agencies, such as but not limited to the Xxxxxxxx-Xxxxxxx Occupational Safety and Health Act. If replacement of equipment, fixtures and appurtenances thereto is necessary, Lessee shall replace same with new or completely reconditioned equipment, fixtures and appurtenances, and repair all damages done in or by such replacement.
