PROGRESS SCHEDULE. 7.1 Time is of the essence for the performance of the Work. Subcontractor acknowledges any and all provisions of the Subcontract Documents, particularly the Prime Contract, setting-forth milestone or completion dates and any stated consequences resulting to Contractor for the failure to complete the Project on time, whether special, liquidated, or other type or category of damages.
7.2 Subcontractor agrees to commence the Work upon Contractor’s direction and to complete the Work in strict accordance with the Progress Schedule, and all subsequent updates and revisions thereto, a portion of which will include a schedule for completion of the Work, and in such order and sequence as Contractor may direct and as will assure the timely completion of the entire Project under the Subcontract Documents. The current version of the Progress Schedule Requirementsis attached hereto as Exhibit G. Subcontractor acknowledges Contractor’s right to control and dictate the Progress Schedule and Contractor’s right to revise and update the Progress Schedule. Without limiting the foregoing, Subcontractor shall: Within (a) furnish during all time of the performance of the Work sufficient qualified and competent personnel, qualified supervision, and adequate, conforming and useable materials, equipment, plans, tools and all other things necessary to achieve and maintain a rate of progress in accordance with the Progress Scheduled; (b) order all materials required for the Work’s performance so as to avoid delay and minimize the risk that the Progress Schedule will not be achieved; (c) within fifteen (15) calendar days after acceptance of entering into this Subcontract Agreement, provide Contractor with a list of the major materials and equipment regarding to complete the Work and, for each listed item, provide the name and contact information for the supplier/manufacturer of the same and, also, the date the same is to arrive on-site at the Project; (d) upon request, provide Contractor a copy of any purchase order or agree for the procurement of major materials and/or equipment; (e) have a Subcontractor- representative attend Contractor’s Proposalweekly progress meetings during the course of Subcontractor’s performance of the Work and, also, such meetings each of the two weeks preceding Subcontractor’s commencement of the Work, and as otherwise requested by Contractor.
7.3 Subcontractor shall provide Contractor shallwith scheduling information as requested by Contractor for consideration and use in preparation and/or updating the Progress Schedule including, at its own expensebut not limited to, prepare submitting to Contractor a detailed electronic progress schedule for the Director Work (the “Subschedule”) that demonstrates Subcontractor’s plan to achieve the requirements of Engineering's review the Progress Schedule within ten (or review by his/her designee10) and approval. The progress schedule shall show the dates calendar days of entering into this Subcontract Agreement, for the commencement attached/current Progress Schedule, and within five (5) calendar days of receipt of a revised/updated Progress Schedule from Contractor. Without limiting the foregoing, Subcontractor’s Subschedule shall contain information showing the time required to prepare and approve submittals, to fabricate and deliver materials and equipment, and to complete the Work, in accordance with the Progress Schedule and shall include Subcontractor’s buyout of, and the delivery and installation of, all major materials and equipment necessary for performance and completion of the items Work. Subcontractor shall notify Contractor immediately upon determination of Work of the Contract and all Contract Milestones. The Contractor that Subcontractor shall revise and resubmit the progress schedule until approved by the Vice President of Operations (or hisnot be able to deliver/her designee). The progress schedules/graphics required by this Contract shall be produced in a format acceptable to the Vice President of Operations (or his/her designee). 7.4 Subcontractor waives all rights and claims against Contractor resulting from modification or change of the Progress Schedule; and Subcontractor agrees to comply with the Progress Schedule, including all modifications and changes thereto, without entitlement to an increase to the Subcontract Price including, but not limited to, the provision of weekend, overtime, or off-hour shift work as required to meet milestones and deadlines for the Work, or portions thereof, as set forth therein. The information provided Subcontractor expressly waives its right to claim or seek recovery of consequential damages arising out of or related to Subcontractor’s performance of the Work and/or this Subcontract Agreement including, but not limited to, the Progress Schedule or any modification, change, or extension of the Progress Schedule. Subcontractor shall not be entitled to payment or compensation of any kind under this Subcontract Agreement, or otherwise, for direct, indirect or impact damages (including but not limited to the cost of delay, deceleration, or acceleration) arising out of, because of, or resulting from any hindrance, delay, or modification, change, or extension of the Progress Schedule relating to the Work, or changes thereto, from any cause whatsoever, whether such hindrance or delay was foreseeable or unforeseeable or avoidable or unavoidable.
7.5 To the fullest extent permitted by law, in progress schedules recognition of the difficulty in determining the effect and impact of a delay in Subcontractor’s performance of the Work, Subcontractor shall also be fully responsible for all costs and expenses Contractor incurs, or which are claimed by Owner through Contractor, or both, which are attributable to Subcontractor’s failure to strictly comply with the Progress Schedule as it pertains to the Work. Furthermore, to the extent Subcontractor, in Contractor’s sole determination, delays completion of the Project whether due to a failure to maintain the Progress Schedule, due to the manner in which Subcontractor performed the Work, or otherwise; Subcontractor shall be responsible to Contractor for the same. Such responsibility shall include, but not be limited to, the interdependencies between the Contractors' activities and all responsibility for any liquidated damages or other activities required for the successful completion damages assessed against Contractor by Owner or any other third- party as a result of the Contract, e.g., those to be performed by utility companies or by other entitiesthereof. All Milestone dates specified in the Contract shall be represented in the schedule by Milestone activities that are logically interrelated to the work that must be accomplished in order to achieve the Milestone. 5.2 SCHEDULE OBLIGATIONS The Subcontractor shall provide the Constructor with any scheduling information proposed by the Subcontractor for the Subcontract Work. In consultation with the Subcontractor, the Constructor shall prepare the schedule for performance of the ContractWork ("Progress Schedule") and shall revise and update such schedule, as necessary, as the Work progresses. Both the Constructor and the Subcontractor shall be bound by the Progress Schedule. The information provided Progress Schedule and all subsequent changes and additional details shall be submitted to the Subcontractor promptly and reasonably in progress schedules advance of the required performance. The Constructor shall also includehave the right to determine and, but not if necessary, make reasonable changes to the time, order, and priority in which the various portions of the Work shall be limited to, the interdependencies between the Contractors' activities performed and all other activities required matters relative to the Subcontract Work. To the extent such changes increase or decrease the Subcontractor's time and costs, the Subcontract Amount and Subcontract Time shall be equitably adjusted, but only to the extent Subcontractor's costs are actually recovered from the Owner. Subcontractor agrees that it's right to extend the Subcontract Time under subsections 5.2 and 5.3 will be Subcontractor's sole and exclusive remedy with regard to any delays or interference with Subcontractor's schedule for the successful completion of the ContractWork, e.g.and Subcontractor hereby waives any and all claims for monetary damages arising out of or related to any such delay or interference, those including without limitation, claims for delay damages, claims for damages based on the lack of productivity due to be performed additional overtime hours worked, claims for damages relating to the stacking of trades, and all other time-related damages.
5.2.1 The Subcontractor agrees to comply with the work schedule as determined in regularly scheduled progress meetings relating to Subcontractor's work as called by utility companies the Project Manager and Superintendent. The Subcontractor will have a qualified representative present at such meetings when his work is forthcoming and throughout the duration of the Subcontractor's work at the Project. Hours of work are from 7:00 A.M. to 3:30 P.M., Monday through Friday, or by a specifically agreed to with the Project Superintendent or the Project Manager. The Subcontractor shall obtain the Project Superintendent’s consent forty eight (48) hours in advance of working any hours other entities. All Milestone dates specified in than 7:00 A.M. to 3:30 P.M., Monday through Friday.
5.3 DELAYS AND EXTENSIONS OF TIME 5.3.1 OWNER CAUSED DELAY Subject to the Contract subsection immediately below, if the commencement or progress of the Subcontract Work is delayed without the fault or responsibility of the Subcontractor, the Subcontract Time shall be represented in extended by Subcontract Change Order and the schedule by Milestone activities that are logically interrelated Subcontract Amount equitably adjusted to the work that must be accomplished in order to achieve extent obtained by the Milestone. 5.2 SCHEDULE OBLIGATIONS The Subcontractor shall provide the Constructor with any scheduling information proposed by the Subcontractor for the Subcontract Work. In consultation with the Subcontractor, the Constructor shall prepare the schedule for performance of the ContractWork (“Progress Schedule”) and shall revise and update such schedule, as necessary, as the Work progresses. Both the Constructor and the Subcontractor shall be bound by the Progress Schedule. The information provided Progress Schedule and all subsequent changes and additional details shall be submitted to the Subcontractor promptly and reasonably in progress schedules advance of the required performance. The Constructor shall also includehave the right to determine and, but not if necessary, make changes to the time, order, and priority in which the various portions of the Work shall be limited to, the interdependencies between the Contractors' activities performed and all other activities matters relative to the Subcontract Work.
5.2.1 In executing this Subcontract, the Subcontractor assures the Constructor that all materials can be made available at the required time to maintain the Project Schedule
5.2.2 If it is found that any item of material cannot be delivered timely, thereby causing delay in the Work, the Subcontractor shall notify the Constructor in writing, within twenty-four (24) hours. Such information shall not be withheld until the time the material is needed to maintain the Project Schedule.
5.3 DELAYS AND EXTENSIONS OF TIME
5.3.1 OWNER CAUSED DELAY Subject to the subsection immediately below, if the commencement or progress of the Subcontract Work is delayed without the fault or responsibility of the Subcontractor, the Subcontract Time shall be extended by Subcontract Change Order and the Subcontract Amount equitably adjusted to the extent obtained by the Constructor under the Subcontract Documents, and the Progress Schedule shall be revised accordingly.
5.3.2 CLAIMS RELATING TO OWNER The Subcontractor agrees to initiate all claims for which the Owner is or may be liable in the manner and within the time limits provided in the Subcontract Documents for like claims by the Constructor upon the Owner and in sufficient time for the successful completion of Constructor to initiate such claims against the Contract, e.g., those to be performed by utility companies or by other entities. All Milestone dates specified in the Contract shall be represented in the schedule by Milestone activities that are logically interrelated to the work that must be accomplished in order to achieve the Milestone. Progress schedules shall be updated monthly and submitted to Vice President of Operations (or his/her designee) for review and approval. PROGRESS SCHEDULE. In addition to the Progress Schedule, Contractor shall maintain and update a two-week look ahead schedule in accordance with all other Contract provisionsa format acceptable to Owner, even though the schedule approved may be inconsistent with such completion. The submittal of progress schedules under this section shall not be deemed to be a substitute for the reporting requirements of the “Daily Progress Reports”which identifies critical path activities during that time-period.

PROGRESS SCHEDULE. Schedule Requirements: Within fifteen (15) calendar days after acceptance
a. The Contractor shall furnish to the Employer’s Representative within one week micro level planning from the date of the Contractor’s Proposalorder to start the work, the Contractor shall, at its own expense, prepare a detailed electronic progress schedule for in quadruplicate indicating the Director date of Engineering's review (or review starting, the monthly progress expected to be achieved and the anticipated completion date of each major item of work to be done by his/her designee) him, also indicating dates of procurement and approvalsetting up the materials, plants and machinery. The progress schedule should include a statement of proposed general and detailed arrangements for carrying out works, and of item, order and manner in which it is proposed that these shall show be executed. The schedule should be framed keeping in view the requirement of the terms and conditions and be such as in practice to the achievement towards completion of the work in the time limit and of the particular items on the dates specified in the contract and shall have the approval of the Employer’s Representative. Further, the dates for the commencement and completion progress, indicated in the schedule shall be adhered to.
b. The Employer’s Representative shall have, at all times, the right, without in any way vitiating this contract forming grounds for any claim, to alter the order of the items of Work of work or any part thereof and the Contract and all Contract MilestonesContractor shall after receiving such direction, proceed in the order directed. The Contractor shall also revise and resubmit the progress schedule until accordingly and submit four copies of the revised schedule to the Employer’s Representative within seven days of the said Engineer’s direction to alter the order of works.
c. The Contractor shall furnish sufficient plant, equipment and labour and shall work such hours and shifts as may be necessary to maintain the progress of the works as per approved progress schedule. The working and shift hours shall comply with all the Employer’s regulations in force and shall be such, as may be approved by the Vice President of Operations (or his/her designee). The progress schedules/graphics required by this Contract shall be produced in a format acceptable to Employer’s Representative and the Vice President of Operations (or his/her designee). Progress schedules shall be sufficiently detailed to accurately depict all the Work (including any design, key submittals, procurement, and construction activities performed by the Contractor) and shall graphically represent the logical sequence and duration of activities, all in accordance with the requirements of the Contract. The information provided in progress schedules shall also include, but same not be limited to, varied without the interdependencies between the Contractors' activities and all other activities required for the successful completion prior approval of the Contract, e.g., those to be performed by utility companies or by other entities. All Milestone dates specified in the Contract shall be represented in the schedule by Milestone activities that are logically interrelated to the work that must be accomplished in order to achieve the Milestone. Progress schedules shall be updated monthly and submitted to Vice President of Operations (or his/her designee) for review and approval. Employer’s Representative.
d. The Contractor shall update from time to time as may be required by the progress schedule showing for each such item of work Employer’s Representative, furnish the Employer’s Representative with a statement in writing of the Contract arrangements he proposes to adopt for the actual start dates, physical percent complete, expected completion dates (for activities in progress), a brief narrative explaining how the planned completion will be achieved execution of this contract and the actual completion dates. No logic or duration changes Employer’s Representative, may if he considers necessary at any time advice alteration in the same, which the Contractor shall adopt on notice thereof.
e. The progress schedule(s) shall be made therein in the form of progress chart, forms, statements and/ or reports prepared in latest version of Microsoft Project or Primavera as may be approved by the Employer’s Representative.
f. In case it is found necessary, at any stage to alter the schedule, the Contractor shall submit in good time a revised schedule incorporating necessary modifications proposed and get the same approved from the Employer’s Representative. Revised schedule shall not be operative without such acceptance in writing. The Employer’s Representative is further empowered to ask for more detailed schedule or schedules say week by week, for any item or items and the written Contractor shall supply the same as and when asked for. The approval of the Vice President of Operations (or his/her designee). Approval of any progress schedule progress-schedules by the Employer’s Representative shall not relieve the Contractor contractor of its obligation to complete any of his duties, responsibilities under the Work contract. The adoption of any modification in the schedule required by the time(s) required Employer’s Representative shall not entitle the Contractor to any extra payment. The contractor shall submit four copies showing the progress of work in the Contract and in accordance with all other Contract provisions, even though the schedule approved form of a chart etc. at periodical intervals as may be inconsistent with such completion. The submittal of progress schedules under this section shall not be deemed to be a substitute for specified by the reporting requirements of the “Daily Progress Reports”Employer’s Representative.
