Comparable Job Offer definition

Comparable Job Offer shall have the meaning set forth in Section 2.5(a).
Comparable Job Offer means an offer of employment with Buyer or one of its Affiliates that provides for Comparable Job Terms.
Comparable Job Offer means an offer of employment with Purchaser or an Affiliate of Purchaser that sets forth the following terms of employment from the Closing Date through at least December 31, 2012: (i) a position requiring substantially comparable skills and abilities as the employee’s position immediately prior to the Closing Date (it being understood that whether a position is managerial or non-managerial shall not in and of itself preclude an offer from being a Comparable Job Offer), (ii) does not involve a significant change in work schedule, (iii) has benefits that are no less favorable, in the aggregate, to those in effect immediately prior to the Closing Date, (iv) has an annual aggregate total compensation (the combination of annual base salary or rate of pay and incentive and commission arrangements) opportunity per performance period that is substantially the same as the annual aggregate total compensation (the combination of annual base salary or rate of pay and incentive and commission arrangements) opportunity in effect for such employee immediately prior to the Closing, (v) is at a work location not more than thirty-five (35) miles from such employee’s work location immediately prior to the Closing Date, and (vi) includes a work status (full or part-time) that is not changed from that in effect immediately prior to the Closing Date.

More Definitions of Comparable Job Offer

Comparable Job Offer means an offer of employment that (i) is for a position requiring substantially comparable skills and abilities as the employee’s position immediately prior to the Closing Date (it being understood that whether a position is managerial or non-managerial shall not in of itself preclude an offer from being a Comparable Job Offer), (ii) includes annual base salary or weekly or hourly rate of pay that is substantially the same as or better than such individual’s salary or rate of pay as in effect immediately prior to the Closing Date, (iii) includes an annual incentive opportunity that (A) with respect to the portion of the 2006 performance year that occurs prior to the Closing Date, is substantially the same as or better than such individual’s incentive opportunity as in effect immediately prior to the Closing Date, and (B) with respect to all periods thereafter is substantially the same as the annual incentive opportunity provided to similarly situated employees (both by job classification or status and by geographic location) of BNY in the case of the Corporate Trust Business Employees and JPM in the case of the Banking Business Employees, (iv) is at a work location not more than thirty-five (35) miles from such employee’s work location immediately prior to the Closing Date, and (v) includes a work status (full or part-time) that is not changed from that in effect immediately prior to the Closing Date.
Comparable Job Offer means a written offer of employment with Buyer or one of its Affiliates that provides for Comparable Job Terms in accordance with Section 5.2(c).
Comparable Job Offer means an offer of employment with Purchaser or an Affiliate of Purchaser that provides for the following terms of employment: (1) a position with job duties substantially comparable to those applicable to the employee’s position immediately prior to the Closing Date, (2) an annual base salary rate (or in the case of an hourly Branch Employee, base hourly rate of pay), at least equal to such individual’s base salary or rate of pay as in effect immediately prior to the Closing Date, (3) substantially the same standard scheduled work hours as in effect for such Branch Employee immediately prior to the Closing Date, (4) eligibility for Purchaser’s employee benefit plans available to similarly situated employees of Purchaser (which benefits shall include, at a minimum, health insurance, a qualified retirement savings or capital accumulation plan, and paid time off for sick/medical reasons and personal reasons, including vacation), (5) an annual discretionary target percentage cash incentive opportunity and/or a modeled quarterly target cash incentive amount, in each case, that is no less favorable than the cash incentive opportunity provided by Seller to each Branch Employee immediately prior to the Closing Date, (6) a primary work location which, with respect to each Branch Employee, does not result in a Material Change of Work Location, and (7) prior service credit for each Branch Employee’s recognized service with Seller (or any of its Affiliates) prior to the Hire Date in accordance with Article VIII.

Comparable Job Offer means an offer for a position with Eagle National Bank, Sterling or Sterling Bank (i) with job duties that are comparable to those performed by the employee as of the Effective Date, (ii) for which the employee will be paid total compensation at least equal to that which the employee was entitled from the Company or Eagle National Bank as of the Effective Time, and (iii) which does not involve relocation by the employee to another metropolitan area.
Comparable Job Offer means an offer of employment (that need not be in writing) with the purchaser of such assets (or an affiliate thereof) that sets forth the following terms of employment: (i) a position that is the same or substantially similar to the Executive’s position immediately prior to the consummation of such sale (the “Closing Date”) (it being understood that whether a position is with an entity whose stock is not publicly traded, shall not in and of itself preclude an offer from being a Comparable Job Offer); (ii) an annual base salary, that is not materially less favorable than the Executive’s base salary as in effect immediately prior to the Closing Date; and (iii) is at the same work location as, or a work location not more than one hundred (100) miles from, the Executive’s work location immediately prior to the Closing Date (provided that such move increases the Executive’s commuting distance by more than 100 miles). The determination of whether the Executive has received a Comparable Job Offer shall be reasonably determined in good faith by Liz and any determination so made shall be final and binding upon the Executive.
