Project Manager Services. The Project Manager shall provide farm and mill management and managerial oversight services for the Project and agricultural operations pursuant to Schedule B, in the aggregate (the “Services”) including: (i) management services for the mill and agriculture operations; (ii) training of suitable employees of the Company and the Developer; (iii) sourcing all castor seeds, growing agents and growing protocols related to the Project; (iv) castor oil sales and management services; and (v) sourcing third party engineering, construction, and procurement for mill and agricultural equipment relating to the Project mill, agricultural equipment and Project operations in compliance with the cost and procurement procedures set forth in Schedules C and D and previously approved by the Developer. During the Term, the Developer and the Project Manager shall establish and mutually agree on annual budgets for the Project. Project Manager will be responsible for the payment of salaries, wages, taxes, and claims of its employees and any subcontractors that it engages to provide it services; provided, however, the foregoing provision does not relieve the Company and the Developer from the responsibilities set forth herein to fund all budgeted expenses of the Project. The Developer shall have the right, in its reasonable business discretion following consultation with Project Manager, to approve the engagement of employees, subcontractors, consultants or other third parties designated by the Project Manager from any Services being performed under this Agreement. All Services shall be provided by the Project Manager in compliance with Applicable Law including the laws and regulations of the Country.

  • Technical Services Party B will provide technical services and training to Party A, taking advantage of Party B’s advanced network, website and multimedia technologies to improve Party A’s system integration. Such technical services shall include:
