Prolonged Outages Sample Clauses
The Prolonged Outages clause defines the rights and obligations of the parties when a service or system experiences an extended period of unavailability. Typically, this clause specifies the duration of downtime that qualifies as a "prolonged outage" and outlines the steps the affected party may take, such as seeking remedies, suspending obligations, or even terminating the agreement if the outage persists beyond a set threshold. Its core practical function is to allocate risk and provide a clear process for addressing significant service disruptions, ensuring both parties understand their options and responsibilities in the event of extended downtime.
Prolonged Outages. Seller shall notify Buyer of a Prolonged Outage as soon as practicable in accordance with the notification provisions in Appendix VI. Seller shall notify Buyer in writing when the Project is again capable of meeting its Contract Quantity on a pro rata basis also in accordance with the notification provisions in Appendix VI.
Prolonged Outages. Seller shall notify Buyer of a Prolonged Outage as soon as practicable under the circumstances by submitting a completed Outage Notification Form in accordance with the provisions set forth in Appendix IX, and provide an estimate of the duration of the outage therein. Seller shall not substitute Energy from any other source for the output of the Project during a Prolonged Outage.
