Property of Guests. All baggage or other items checked or left in the care of Seller, and any items in the “Lost and Found Bin” will be listed in an inventory, prepared in duplicate and signed by representatives of Seller and Buyer on the Closing Date. Buyer will be responsible from and after the Closing for all property so listed and shall hold harmless, indemnify and defend Seller, from and against any and all Claims arising out of the subsequent loss of or damage to such listed property. Seller shall indemnify Buyer from and against any and all Claims arising out of any loss of or damage to property of guests at the Hotel prior to the Closing or not so listed in such inventory. Seller and Buyer shall use reasonable efforts to have Hotel guests who have left items in any of the Hotel’s safe deposit boxes (not including in-room safes) confirm on the Closing Date that no such items are missing, but Seller shall not be deemed liable for any guest Claim made after the Closing Date with respect to items allegedly left in a Hotel safe deposit box before Closing merely because such items could not be listed on the above-described inventory.

All baggage, parcels of property of guests or tenants being retained by Seller as security for unpaid accounts receivable shall be removed from the Property prior to the Closing (“Retained Baggage”). All other baggage, parcels or property checked or left in the care of Seller by current guests or tenants at Closing, or by those formerly staying at the Property, or others, shall be sealed and listed in an inventory prepared jointly by representatives of Seller and Purchaser on the date of the Closing and initialed and exchanged by such representatives. Possession and control of all such other baggage, parcels or property listed on such inventory shall be delivered to Purchaser at Closing and Purchaser shall be responsible from and after the Closing for the liability of all items listed in such inventory, but only in the condition actually delivered by Seller. Seller shall remain liable for any acts or omissions with respect to such baggage which occurred prior to the date of Closing as well as for claimed omissions from said inventory, and Seller hereby agrees to indemnify and hold Purchaser harmless from and against any liability therefor.
Property of Guests. The Museum shall not be liable for loss or damage to any personal property brought to the Museum in connection with the event. The Museum offers a small coat closet and a limited number of bag cubbies. Classroom and Lecture Space Set-up and Clean-up: Tables and chairs must be a minimum of three (3) feet away from the works of art. Tables and chairs are arranged according to your reservation request. Tables and chairs may be re- arranged during your rental but only by Museum Staff. Upon conclusion of the rental, the Rental Sponsor is responsible for returning the Classroom or Lecture Space to its original cleanliness. Cleaning supplies are available upon request. Trash will be removed by Museum Staff.

Operator shall also indemnify the Owner from and against any and all claims arising out of any loss of or damage to property of guests at the Hotel prior to the Commencement Date or not so listed in such inventory. The Operator shall use reasonable efforts to have Hotel guests who have left items in any of the Hotel’s safe deposit boxes (not including in-room safes) confirm on the Commencement Date that no such items are missing, but Owner shall not be deemed liable for any guest claim made after the Commencement Date with respect to items allegedly left in a Hotel safe deposit box before the Commencement Date, merely because such items could not be listed on the above described inventory.
