Proprietary and usage rights. Swisscom grants to Customer, for use by Customer itself, a non-transferrable, non-exclusive right to use the ser- vices of Swisscom specified in the Agreements. The con- tent and scope of this right are indicated in the Agree- ments. In the case of services that, in accordance with the respective individual contract, are only to be performed for a specific period of time, this right is restricted to the duration of the individual contract. If products that Customer can identify as third-party products are part of the services provided by Swisscom, Customer also acknowledges the use and licence terms of these third parties associated with these products. All rights to intellectual property existing or arising at the time of performance of the Agreement (copyrights, pa- tent rights, know-how, etc.) relating to services of Swisscom shall be retained by Swisscom or the third party holding the same. Neither is restricted in otherwise ex- ploiting or using this intellectual property, nor is either under any duty to Customer in respect of the same. If the Parties have developed intellectual property jointly, they authorise each other permanently to use and exploit these rights independently of one another without re- striction, subject to confidentiality obligations. In the case of software, unless otherwise agreed in writing, Customer has no right to the source code and shall not use or ac- quire the same. Customer acknowledges the legal validity of the intellectual property rights of Swisscom and of any third parties regarding the services performed by Swisscom and shall take no actions that might impair the value of the same. Customer shall take all actions within its means to prevent any unauthorised use. This para- graph shall survive the termination of the Agreements. R

  • Usage Rights 3.1 The Licensee, subject to clause 6 below, may:

  • CONFIDENTIAL, PROPRIETARY, AND TRADE SECRET INFORMATION AND MATERIALS a. Buyer and Seller shall each keep confidential and protect from unauthorized use and disclosure all (i) confidential, proprietary and/or trade secret information of a Party or third party disclosed by a Party; (ii) software provided under this Contract in source code form or identified as subject to this Article; and (iii) tooling identified as subject to this Article: in each case that is obtained, directly or indirectly, from the other in connection with this Contract or Buyer’s contract with its customer, if any, (collectively referred to as "Proprietary Information and Materials"). Proprietary Information and Materials excludes information that is, as evidenced by competent records provided by the receiving Party, known to the receiving party or lawfully in the public domain, in the same form as disclosed hereunder, disclosed to the receiving Party without restriction by a third party having the right to disclose it, or developed by the receiving Party independently without use of or reference to the disclosing Party’s Proprietary Information and Materials.

  • Applicable Use Rights For perpetual licenses, the Use Rights in effect when Customer orders a Product will apply. For subscriptions, the Use Rights in effect at the start of each subscription period will apply. Customers with subscriptions for Software may use new versions released during the subscription period subject to the Use Rights in effect when those versions are released. For metered Products billed periodically based on usage, the Use Rights in effect at the start of each billing period will apply during that period. Microsoft may update the Use Rights periodically, but material adverse changes for a particular version will not apply during the applicable license, subscription, or billing period.

  • Trademark Usage Customer agrees that QuoVadis may use Customer’s name and trademark to perform its obligations under this Agreement and to indicate that Customer is receiving QuoVadis’s Service, provided that such use would not foreseeably diminish or damage Customer’s rights in any of its trademarks, create a misrepresentation of the parties’ relationship, or diminish or damage a party’s reputation. Neither party may register or claim any right in the other party’s trademarks. Customer grants QuoVadis a right to use any trademark of Customer included in the Certificate to the extent necessary to operate such Certificate.

  • Permitted and Prohibited Uses 1.1. The Data may only be used for linguistic education and research, including but not limited to information retrieval, document understanding, machine translation or speech recognition.

  • User Rights Under the Creative Commons Attribution-NonCommercial-NoDerivs license, the author(s) and users are free to share (copy, distribute and transmit the contribution) under the following conditions: 1. they must attribute the contribution in the manner specified by the author or licensor, 2. they may not use this contribution for commercial purposes, 3. they may not alter, transform, or build upon this work.

  • Proprietary Data NASDAQ OMX grants to Subscriber a nonexclusive, non-transferable license during the term of the Agreement to receive and use the Information transmitted to it by Distributor and thereafter, to use such Information as permitted under the terms of this Agreement and/or the NASDAQ OMX Requirements. Subscriber acknowledges and agrees that NASDAQ OMX has proprietary rights to the Information that originates on or derives from markets regulated or operated by NASDAQ OMX, and compilation or other rights to Information gathered from other sources. Subscriber further acknowledges and agrees that NASDAQ OMX 's third-party information providers have exclusive proprietary rights to their respective Information. In the event of any misappropriation or misuse by Subscriber or anyone who accesses the Information through Subscriber, NASDAQ OMX or its third-party information providers shall have the right to obtain injunctive relief for its respective materials. Subscriber will attribute source as appropriate under all the circumstances.

  • Carriage Rights a) The parties to settlement discussions shall be the central parties. The Crown may participate in settlement discussions.

  • Rights of Access The employee shall be given access to copies of all materials supporting the proposed action and shall be provided with copies upon request.

  • Use Rights The Use Rights in effect when Customer orders Software will apply to Customer’s use of the version of the Software that is current at the time. For future versions and new Software, the Use Rights in effect when those versions and Software are first released will apply. Changes Microsoft makes to the Use Rights for a particular version will not apply unless Customer chooses to have those changes apply.
