Proration of Fees. If the services of Manager commence or terminate for any reason (including, without limitation, those set forth in Paragraph 5 hereof other than on the first day of any calendar month, the Base Management Fee for such partial month shall be prorated based upon the number of days for which services are actually rendered by Manager during such partial month.
Proration of Fees. If this Agreement becomes effective or terminates before the end of any fiscal quarter, the Base Management Fee and Incentive Fee for the period from the effective day to the end of the fiscal quarter or from the beginning of such quarter to the date of termination, as the case may be, shall be prorated according to the proportion which such period bears to the full fiscal quarter in which such effectiveness or termination occurs. In the event that this Agreement shall terminate as of a date that is not a fiscal year end, the termination date shall be treated as though it were a fiscal year end for purposes of calculating and paying an Incentive Fee.
Proration of Fees. In the event that (i) the Start Date shall be date other than the first day of a calendar month, or (ii) this Agreement shall be terminated on a date other than the last day of a calendar month, then the Transmission Fee for such month shall be proportionately reduced.
Proration of Fees. In the event of (a) inception of this Investment Advisory Agreement on a day other than the first day of a calendar quarter or (b) termination of this Investment Advisory Agreement on a day other than the last day of a calendar quarter, the fee accrued during the quarter in which such event occurs shall be prorated on the basis of the number of days that the Investment Advisory Agreement is in effect during such quarter relative to the number of days in such quarter.
Proration of Fees. In the event the Managing General Partner shall cease to serve as Managing General Partner during any calendar year, a prorated portion of the Management Fee and the Incentive Fee for such year shall be payable in arrears to the Managing General Partner on February 15 of the next year according to the number of complete and partial months of the year during which the Managing General Partner served in such capacity.

If this Agreement becomes effective or terminates before the end of any month, the fee for the period from the effective date to the end of the month or from the beginning of such month to the date of termination, as the case may be, shall be prorated according to the proportion that such period bears to the full month in which such effectiveness or termination occurs.
Proration of Fees. Fees will be prorated for assets deposited to or withdrawn from the Account during the quarter. If WFG shall serve for less than the whole of any quarterly period, its compensation (determined as provided above) shall be calculated and payable on a pro rata basis for the portion of the quarter for which it has served as an advisor hereunder.

In the event that (i) the Start Date shall be a date other than the first day of a calendar month, (ii) this Agreement shall be terminated on a date other than the last day of a calendar month and it is determined that such termination shall have occurred in a manner not affecting Lessor's right to payments hereunder, the then Transmission Fee or Connection Fee due Lessor in such month shall be pro rated.
Proration of Fees. In the event this Agreement commences or terminates on a date other than the first or last business day of a calendar quarter, INVESTMENT MANAGER’s fees shall be prorated on a daily basis for the portion of the calendar quarter in which INVESTMENT MANAGER provided services.
Proration of Fees. The portion of the Fee accrued for the ----------------- period in which the expiration or termination of this Agreement occurs shall be appropriately pro-rated to the date of expiration or termination.
