Protection Agreement. This protection agreement is entered into by (PRINT NAME) , (hereinafter INDIVIDUAL VOLUNTEER HEALTH CARE PROVIDER) and the Iowa Department of Public Health (hereinafter Department).

The Company and each Member acknowledge and agree that the Protection Agreement shall remain in full force and effect upon a Transfer of Exchangeable Shares and each holder of Exchangeable Shares now or in the future shall be entitled to the benefits and protections set forth in the Protection Agreement.

Each Holder has obtained from its respective own counsel advice regarding the transactions contemplated by this Agreement, including, without limitation, the tax consequences of, as applicable: (i) the transfer of interests in the Project Companies to PRLP on the terms hereof and the receipt of Issued Units as consideration therefor; and (ii) the admission as a limited partner of PRLP and is not relying on any tax advice made by PRLP.
