Protection of the Trademarks. The Grantor agrees that if it learns of any use by any person or any term or design likely to cause confusion with any Trademark, or of any claim of any lien, security interest, claim, right or other encumbrance of any nature whatsoever in or to the Trademarks, the Grantor shall promptly notify the Authority of such use, lien, security interest, claim, right or other encumbrance and, if requested by the Authority, shall join with the Authority, at the Grantor’s expense, in such action as the Authority, in its reasonable discretion, may deem advisable for the protection of the Authority’s interest in and to the Trademarks, it being understood that the foregoing shall not preclude the Grantor from bringing an action against a person for the protection of the Grantor’s interest in and to such Trademarks.

Protection of the Trademarks. Reseller agrees to notify Gateway as ------------------------------- soon as practicable but in any event within ten (10) days if Reseller becomes aware of: 1. any uses of, or any application or registration for, a trademark, service xxxx or trade name that is identical to, conflicts with or is confusingly similar to the Trademarks; 2. any acts of infringement or unfair competition involving the Trademarks; or 3. any allegations or claims whether or not made in a lawsuit, that the use of the Trademarks by Gateway or Reseller infringes the trademark or service xxxx or other rights of any other entity. 7.10.1 Gateway may, but shall not be required to, take whatever action it, in its sole discretion, deems necessary or desirable to protect the validity and strength of the Trademarks at Gateway's sole expense. Protection of the Trademarks. (a) Assignor agrees that if it learns of any use by any person of any term or design likely to cause confusion with any Trademark, or of any claim of any lien, security interest, claim, right or other encumbrance of any nature whatsoever in or to the Collateral, Assignor shall at Assignor’s expense promptly bring an action against such person for the protection of Assignor’s interest in and to such Trademark. In addition, Assignor shall promptly notify Lender of such use, lien, security interest, claim, right or other encumbrance. If requested by Lender, Assignor shall allow Lender to join with Assignor, at Assignor’s expense, in such action in the event that Lender, in its reasonable discretion, deems such joinder advisable for the protection of Lender’s interest in and to the Trademarks. (b) Upon the occurrence of an Event of Default, Assignor agrees that if it learns of any use by any person of any term or design likely to cause confusion with any Trademark, or of any claim of any lien, security interest, claim, right or other encumbrance of any nature whatsoever in or to the Collateral, Assignor shall promptly notify Lender of such use, lien, security interest, claim, right or other encumbrance. Lender may, but is not obligated to, bring, at Assignor’s expense, such action as Lender, in its reasonable discretion, may deem advisable for the protection of Lender’s interest in and to the Trademarks.
Protection of the Trademarks. Brewing Co. agrees that they will not challenge, oppose or seek to cancel the title of any rights of Ferndale DDA in and to the Mark or make any claim or take any action adverse to Ferndale DDA’s rights therein. Furthermore, Brewing Co. will not register, nor attempt to register, any trade name or trademark which incorporates or is confusingly similar to the Mark.

  • Intellectual Property Protection The Group Companies shall establish and maintain appropriate intellectual inspection system to protect the Proprietary Rights of the Group Companies. The Group Companies shall, and the Founders shall cause the Group Companies to fully comply with the laws and regulations in respect of the protection of the Proprietary Rights and refrain from infringing the Proprietary Rights of other parties. Ecommerce Company shall, and the other Warrantors shall procure Ecommerce Company to, use its best efforts to obtain as soon as possible and maintain the registration of the core trademarks used in the Business (including without limitation, the marks of “perfect diary”, “完美日记” and the combination of the foregoing) in the appropriate goods and services (including without limitation, cosmetics, cosmetics tools and advertisement). The Group Companies shall take all necessary or desirable actions to protect their trademarks, including initiating trademark petitions against any trademark applications filed by any third party for a trademark identical or similar to the Group Companies’ trademarks.

Borrower will NOT register with the United States Copyright Office (or apply for such registration of) any of Borrower’s maskworks, computer software, or other copyrights, unless Borrower: (x) provides Bank with at least fifteen (15) days prior written notice of its intent to register such copyrights or mask works together with a copy of the application it intends to file with the United States Copyright Office (excluding exhibits thereto); (y) executes and delivers a security agreement or such other documents as Bank may reasonably request to maintain the perfection and priority of Bank’s security interest in the copyrights or mask works intended to be registered with the United States Copyright Office; and (z) records such security agreement with the United States Copyright Office contemporaneously with or promptly (but in no event more than 10 days) after filing the copyright or mask work application(s) with the United States Copyright Office. Borrower shall promptly provide to Bank a copy of the application(s) actually filed with the United States Copyright Office together with evidence of the recording of the security agreement necessary for Bank to maintain the perfection and priority of its security interest in the copyrights or mask works intended to be registered with the United States Copyright Office. Borrower hereby represents and warrants that, as of the Effective Date, the IP Security Agreement identifies all patents (constituting Material Intellectual Property) and trademarks (constituting Material Intellectual Property) of Borrower that are registered (or the subject of an application for registration) with the United States Patent and Trademark Office. From and after the Effective Date, Borrower shall provide written notice to Bank of any application filed by Borrower in the United States Patent and Trademark Office for a patent (constituting Material Intellectual Property) or to register a trademark (constituting Material Intellectual Property) or service xxxx (constituting Material Intellectual Property) within 30 days after any such filing, and, upon the request of Bank, Borrower shall promptly execute and deliver a security agreement or such other documents as Bank may reasonably request with respect to such additional patents (constituting Material Intellectual Property) and/or trademarks (constituting Material Intellectual Property) of Borrower that are registered (or the subject of an application for registration) with the United States Patent and Trademark Office. The foregoing notwithstanding, Bank shall not acquire any interest in any intent to use a federal trademark application for a trademark, servicemark, or other xxxx filed on Borrower’s behalf prior to the filing under applicable law of a verified statement of use (or equivalent) for such xxxx that is the subject of such application.
