Provision of Employee Data; Notice of Offer. To facilitate Supplier’s ability to extend offers, the applicable Eligible Recipient shall allow Supplier reasonable access to the Affected Employees in order to allow for an orderly transition of their employment to Supplier. Supplier shall notify the applicable Eligible Recipient at a reasonable time prior to making any offer of temporary or regular employment (or retention as an independent contractor) to any Affected Employee. Such notice shall describe in reasonable detail the terms of each such offer.

Provision of Employee Data; Notice of Offer. To facilitate R1’s ability to extend offers and the IMH Employees’ likelihood of acceptance, IMH shall allow R1 reasonable access to the IMH Employees in order to allow for an orderly transition of their employment to R1. R1 shall notify IMH at a reasonable time prior to making any offer of employment to any IMH Employee. Such notice shall describe in reasonable detail the terms of each such offer. For the purpose of facilitating R1’s ability to extend offers, IMH agrees to use commercially reasonable efforts to disclose to R1, within [**] of the Effective Date, [**] with respect to the applicable IMH Employees. If the Optionee dies or becomes Disabled (A) while employed by the Corporation or (B) within 90 days after the termination of his or her employment other than for Cause or Retirement, the Option (to the extent then vested) may be exercised at any time within one year after the Optionee's death or Disability (but not beyond the Term of the Option). The Option, to the extent not then vested, shall immediately expire upon such death or disability. If the Optionee's employment terminates by reason of Retirement, the Option shall (A) become fully and immediately vested and exercisable and (B) remain exercisable for three years from the date of such Retirement (but not beyond the Term of the Option).

  • Early Termination of Services Termination at any time upon 90 days’ prior written notice. Notwithstanding the second sentence of Section 4(b) of the Agreement, individual services within this schedule may be terminated without all other Services being simultaneously terminated. Upon the early termination of any Service(s) in this Schedule, Early Termination Fees of 75% of monthly costs shall be charged each month for 3 months.
