PROVISION OF WASTEWATER. As further consideration for Seller agreeing to sell the Property to Buyer, beginning at Settlement, to the extent Buyer land applies treated sewage effluent to property owned by Buyer solely as a disposal method, and Seller owns agricultural property that could be utilized for land application of the treated sewage effluent, Buyer shall cooperate in good faith to enter into an agreement with Seller on terms and conditions mutually acceptable to the parties to utilize Seller’s property for the land application of the treated sewage effluent. Buyer may refuse to provide treated sewage effluent to Seller based on any of the following conditions, which shall be determined to exist in Buyer’s sole discretion: (1) application of the sewage effluent to Seller’s property would require changes to any permits or approvals of Buyer; (2) application of the sewage effluent to Seller’s property would increase potential liability of Buyer; (3) application of the sewage effluent to Seller’s property would decrease any benefit of Buyer achieved by land applying the sewage effluent to land owned by Buyer;

  • Subcontracting for the Provision of Services (a) The parties acknowledge that, subject to the provisions of LHSIA, the HSP may subcontract the provision of some or all of the Services. On side slopes greater than 45%, all waste material must be end hauled or pushed to the designated embankment sites and waste areas identified in Clause 0-00 XXXXX XXXX XXXXXXXX.
