Purpose and Consideration. The purpose of this Agreement shall be to provide clinical experience to students enrolled in those programs listed in Exhibit A to this Agreement. Consideration for this Agreement shall consist of the mutual promises contained herein, the parties agreeing that monetary compensation shall neither be expected nor received by either party.
Purpose and Consideration. The execution and delivery of this Guaranty by Guarantor is a condition to Lender’s willingness to make the Loan to Borrower, is made in order to induce Lender to make the Loan, and is made in recognition that Lender will be relying upon this Guaranty in making the Loan and performing any other obligations it may have under the Loan Documents. Guarantor has a significant ownership interest in Borrower, and, accordingly, acknowledges that Guarantor will receive material direct and indirect benefit from Lender making the Loan to Borrower.

The execution and delivery of this Guaranty by Guarantor is a condition to the making of the Loan to Borrower, is made in order to induce Lender to make the Loan, and is made in recognition that Lender will be relying upon this Guaranty in making the Loan and performing any other obligations it may have under the Loan Documents.

Purpose and Consideration. The parties acknowledge that the Community Garden is a public amenity and that FISH will maintain the Community Garden as an aesthetic asset for the citizens of Ellensburg. To the extent feasible, produce grown at the Community Garden will be donated to organizations serving those members of the community in need of food who are unable to satisfy their own needs because of lack of resources such as the FISH Community Food Bank. On the date that this Lease is signed FISH will pay the City one dollar ($1) in rent.
Purpose and Consideration. The execution and delivery of this Guaranty by Guarantor is a condition to Landlord’s assigning the Lease to Tenant and is made to induce Landlord to enter into the Lease. Guarantor is a Canadian corporation and the parent (owner of 100% of Tenant’s stock) of Tenant, a Delaware corporation.
Purpose and Consideration. The execution and delivery of this Guaranty by Guarantor is a condition to Seller’s willingness to sell its Membership Interest to Buyer in consideration of the Promissory Note, and Guarantor recognizes that Seller will rely upon this Guaranty. Guarantor has a significant employment and ownership interest in Buyer, and Buyer is becoming the sole Member of the Company, and, accordingly, Guarantor acknowledges that Guarantor will receive material direct and indirect benefits from Buyer’s purchase of Seller’s Membership Interest in the Company and Buyer’s execution of the Promissory Note.
Purpose and Consideration. 1.1. The purpose of the Evaluation is for Tesseract to determine whether it, in its sole discretion, wishes to negotiate and execute a separate definitive agreement with the Developer for the distribution of the Application in the Store (“Definitive Agreement”). It is understood and agreed by both Parties that no fees shall be payable by one Party to the other Party during the term of this Agreement. All fees or other commercial terms including relating to the placement and distribution of the Application in the Store will commence only upon the execution of the Definitive Agreement, and on the terms and conditions set forth therein. Nothing in this Agreement will be construed as a promise or commitment on the part of either Party to enter into a Definitive Agreement. The Parties agree that mutual covenants and obligations of each Party as set out in this Agreement is sufficient consideration for the purposes of this Agreement.
1.2. During the Evaluation Period (defined below), Tesseract shall use commercially reasonable efforts to conduct the Evaluation in accordance with this Agreement.
1.3. Upon Tesseract’s request, Developer and/or its affiliates shall, at its or their own cost and expense, provide all assistance, support or cooperation to Tesseract and/or its affiliates for the timely and proper conduct of Evaluation, including but not limited to rectifying errors, crashes, hangs, malfunctions, build correction, work-around, bug fixes, updates, upgrades, patches, defected usage of software, latency and loading issues and all technical support pertaining to the Application.
Purpose and Consideration. DMD shall pay SE consideration in the amount of Twenty Five Thousand Dollars ($25,000.00) in exchange for SE's services of negotiating, arranging, and securing the services and likenesses of JACK XXXXXX xxx KRISXXXX XXXXXX (xxreinafter collectively "Talent") for a full day photography session at a time and place specified by DMD and acceptable to Talent between April 26, 1999 and April 30, 1999 for the purpose of endorsing a DMD product line. DMD shall pay SE the sum of $25,000.00 upon execution of this agreement. The terms of Talent's subject engagement shall be specified in a separate written agreement entered into between DMD and Talent.
Purpose and Consideration. Guarantor acknowledges that the execution and delivery of this Guaranty by Guarantor is a condition to PRIORITY entering into the Agreement with Merchant, and is made to induce PRIORITY to enter into the Agreement. Guarantor is a stockholder, partner, member, manager, officer or director of Merchant.
