Tenant Acknowledgment. Tenant acknowledges that Landlord has complied with all of its obligations under said Lease to date, and, to the extent not expressly modified hereby, all of the terms and conditions of said Lease shall remain unchanged and in full force and effect.
Tenant Acknowledgment. Tenant acknowledges and understands, after having consulted with its legal counsel, that the purpose of Paragraph A is to shorten the period within which Tenant would otherwise have to raise such claims, demands, rights, or defenses under applicable laws.
Tenant Acknowledgment. A notary public or other officer completing this certificate verifies only the identity of the individual who signed the document to which this certificate is attached, and not the truthfulness, accuracy, or validity of that document.
Tenant Acknowledgment. Tenant acknowledges and agrees that the relocation to the New Premises is being made at Tenant’s request and does not trigger any termination rights of Tenant under the Lease, including without limitation, any termination right under Section 11.4 (as amended) of the Initial Lease.
Tenant Acknowledgment. Tenant acknowledges and agrees that, except as expressly set forth in this Lease, there have been no representations or warranties made by or on behalf of Landlord with respect to the Premises or with respect to the suitability of the Premises for the conduct of Tenant’s business.
Tenant Acknowledgment. Except as expressly provided in this Lease, Tenant agrees that Tenant shall accept the Premises in its condition as of the Delivery Date, on an "AS-IS WITH ALL FAULTS BASIS" and is relying solely upon Tenant's own independent factual, physical and legal investigations, examinations and inquiries and the materials and information prepared by Tenant or by third parties at Tenant's request in determining that the Premises are suitable and adequate in all respects for Tenant's use and any and all other activities and uses which Tenant may conduct thereon. Landlord is not making, has not made, and expressly disclaims any representation, warranty or other assurance whatsoever with respect to the Premises, the Development, and any condition or feature thereof, other than the representations or warranties expressly provided herein.
Tenant Acknowledgment. Tenant acknowledges that (i) Landlord cannot guarantee that the Building is free of COVID-19 or any other diseases or virus; (ii) there are inherent enhanced risks and dangers in entering public areas during an epidemic, pandemic or public health emergency including, without limitation, the COVID-19 pandemic; and (iii) access to the Building and use of the Premises, the common areas and/or the amenity spaces may result in exposure to the underlying disease or virus including, without limitation, COVID-19, whether caused by the negligence or other conduct of Landlord, its managing agent, its employees, contractors or agents or by any other person, tenant or employee, guest or invitee of any of the foregoing. With respect to any such epidemic, pandemic or public health emergency, Xxxxxx agrees to abide by all guidelines established by all applicable local and federal governmental agencies including, without limitation, guidance issued by the Center for Disease Control and Prevention (the “CDC”).
Tenant Acknowledgment. By signing below, Tenant acknowledges that (1) a free copy of the Arizona Residential Landlord and Tenant Act is available through the Arizona Secretary of State’s Office, A.R.S. #33-1322; (2) The Tenant shall furnish upon move-in, a list specifying any exist- ing damages to the Premises; (3) The Tenant is hereby notified that Tenant is entitled to be present at the move-out inspection, A.R.S. #33-1321(C); (4) Tenant has read this entire Agreement and understands and agrees to the terms and conditions thereof; and (5) Tenant acknowledges receipt of a copy of all pages of the Agreement.
Tenant Acknowledgment. Tenant acknowledges and agrees that Landlord is in good standing and not in default under the Lease and that no event has occurred that with the giving of notice and/or the passage of time would give rise to an event of default by Landlord.
Tenant Acknowledgment. Tenant acknowledges and agrees that no representative, agent or employee of Landlord has represented, suggested, promised or implied that Tenant would be given an exclusive use in the Center for the operation of the business to be conducted in the Premises, or that Landlord would not lease space in the Building or Center to a competing or other tenant. Tenant has independently investigated the potential for the success of its operations in the Center and has not relied upon any representations, inducements or promises by Landlord’s representatives, agents or employees.
