Purpose of the Facilities. The proceeds of the Facilities/Bank’s Purchase Price or any part thereof shall be applied in accordance with the Purpose only. In the event the Customer requires or proposes or intends to use proceeds of the Facilities/Bank’s Purchase Price or of any sum thereunder for any other Purpose, written consent from the Bank must first be obtained by the Customer and shall be applied as prescribed by the Bank at its absolute discretion.
Purpose of the Facilities. (a) Tranche A and Tranche B may be used by any Borrower for general corporate purposes, including to finance investments, acquisitions and Distributions;
(b) Tranche C and the Term Facility may only be used by SNC and solely to finance in part the Xxxxxx Acquisition and related indebtedness, fees and expenses substantially in accordance with the sources and uses of funds set out in Schedule F (with Tranche C being used only to the extent necessary after giving effect to a full use of the Term Facility).
(c) The Revolving Facility may not however be used to fund a hostile acquisition, namely, any private or public offer for the shares, securities or business of another Person whose governing body has not approved such offer.
Purpose of the Facilities. The Company shall apply all amounts borrowed by it under the Facilities in or towards financing or refinancing:
(a) the consideration payable by Bidco for Bidco’s acquisition of those Shares to be acquired:
(i) pursuant to the Offer; and/or
(ii) as a result of its implementing the Squeeze-out (if any); and
(b) any costs, fees and expenses (and taxes thereon) associated with the Offer or the Squeeze Out.
Purpose of the Facilities. (a) The Borrowers will use the Revolving Facility for general corporate purposes.
(b) Cascades US will use the Term Facility solely to finance or refinance investments made by Cascades US, provided that such investments (i) are or were made in order to allow existing xxxxx owned by Cascades US to utilize waste and waste product (including mixed paper post-consumer materials and old corrugated containers) as inputs for their operations and (ii) are or were made in xxxxx owned by Cascades US that are located in the United States of America in rural areas with populations of no more than 20,000 people (collectively, the “Special Purpose Investments”).
Purpose of the Facilities. The Company shall apply all amounts borrowed by it under the Facilities in or towards financing or refinancing:
(a) the consideration payable by Bidco for Bidco’s acquisition of those Shares to be acquired:
(i) pursuant to the Take-over Offer;
(ii) pursuant to the Mandatory Offer (if any);
(iii) pursuant to Market Purchases;
(iv) as a result of its implementing the Squeeze-out (if any); and/or
(v) as a result of entering into a domination or profit and loss pooling agreement with, or in respect of, the Target as set out in section 305 of the German Stock Corporation Act (Aktiengesetz - AktG); and
(b) any costs, fees and expenses (and taxes thereon) associated with the transactions set out in paragraph (a) above; and
(c) the amounts drawn under any “Initial Market Purchase Loan” (as defined in the Bridge Facility) under the Bridge Facility, provided that amounts borrowed are not used to refinance the net proceeds of the Mandatory Convertible Notes or, as the case may be, the 2006 Bonds, such proceeds having been applied in respect of one or more of the purposes specified in paragraphs (a) or (b) above.
Purpose of the Facilities. (a) The Facilities shall be utilised by the Borrower(s) for the respective purposes set out in the Letters of Offer. If the Borrower(s) shall require the utilisation of the Facilities or any part thereof for any other purpose the Borrower(s) shall obtain the prior written consent of the Lender which consent may be withheld, refused or given unconditionally or subject to such terms and conditions as the Lender shall deem fit.
(b) Without prejudice to the obligations of the Borrower(s) under Section 3.03(a), the Lender shall not be obliged to concern itself with the application by the Borrower(s) of the Facilities.
Purpose of the Facilities. The Customer shall use the facilities provided hereunder for the purpose specified therefore, namely: To finance construction of 45 houses units in the Commonwealth of Northern Mariana Islands.
Purpose of the Facilities. 2.1 The Facilities shall be utilised to assist with the relevant Obligor's additional working capital requirements, capital expenditure requirements and general corporate purposes.
Purpose of the Facilities. The proceeds of the Facilities shall be applied by the Customer for the Purpose. In the event the Customer requires or proposes or intends to use the proceeds of the Facilities for any other purpose, written consent from the Bank must first be obtained by the Customer. The Bank is not bound to ensure that the Customer utilises the Facilities for the Purpose.
Purpose of the Facilities. 3.1. The Borrower shall apply all amounts borrowed by it under the Facilities towards repaying in full all amounts outstanding under the Original Facility Agreement and towards funding the ongoing general corporate costs, working costs and working capital requirements of the Group.
3.2. Without prejudice to the obligations of the Borrower under clause 3.1, the Lenders shall not be obliged to concern themselves with the application of amounts raised by the Borrower hereunder.
