Qualification as a Broadcast Licensee. To the best of its knowledge, Buyer is legally qualified under the Act and all other applicable federal, state and local laws, rules and regulations, to acquire the Station Assets from Seller. Buyer knows of no fact, and will not act in such manner from and after the date hereof, that would, under the Act and the rules and policies of the FCC, disqualify Buyer as an assignee of the FCC Licenses or Buyer as owner and holder of the other Station Assets.

Qualification as a Broadcast Licensee. Neither LBI Media nor Buyer knows of any fact that would as of the date hereof, under the Communications Act, disqualify Buyer as owner, operator and licensee of the Station.
Qualification as a Broadcast Licensee. To the best of the Buyer's Knowledge, the Buyer is legally qualified under all applicable federal, state and local laws, rules and regulations, to acquire the FCC Licenses and the Acquired Assets from the Sellers. The Buyer will not knowingly act in such manner from and after the date hereof, that would, under the rules and policies of the FCC, disqualify the Buyer as an assignee of the FCC Licenses or the Buyer as owner and holder of the Acquired Assets.

Qualification as a Broadcast Licensee. Excluding all facts arising from changes between the date hereof and the KEYH Closing Date to the radio broadcasting industry generally and any modification during such period of the FCC rules, regulations or policies affecting all members of the class of holders of FCC licenses to which Buyer would belong as the holder of KEYH FCC Licenses or to which Buyer belongs as the holder of its existing FCC licenses, as of the date of this Agreement and as of the KEYH Closing Date, no fact exists that would as of the date hereof and as of the KEYH Closing Date, under the Communications Act, disqualify Buyer as owner, operator and licensee of Station KEYH. Excluding all requests arising from changes between the date hereof and the KEYH Closing Date to the radio broadcasting industry generally and any modification during such period of the FCC rules, regulations or policies affecting all members of the class of holders of FCC licenses to which Buyer would belong as the holder of the KEYH FCC Licenses or to which Buyer belongs as the holder of its existing FCC licenses, no request for any waiver under the Communications Act is necessary in order for LBI Holdings or Buyer to obtain a grant of the KEYH Assignment Application or to consummate the transactions contemplated hereby.
Qualification as a Broadcast Licensee. Citicasters knows of no fact which would, under existing law and the existing rules, regulations and practices of the FCC, disqualify Citicasters as (a) assignee of the Radio Stations FCC Authorizations listed in SCHEDULE 6.7 to this Agreement, or (b) owner and operator of the Radio Stations. Citicasters will take no action which it knows or has reason to know would cause such disqualification.

Qualification as a Broadcast Licensee. Pacific and Southern knows of no fact which would, under existing law and the existing rules, regulations and practices of the FCC, disqualify Pacific and Southern as (a) assignee of the Television Station FCC Authorizations listed in SCHEDULE 5.7 to this Agreement, or (b) owner and operator of the Television Station Assets. Pacific and Southern will take no action which it knows or has reason to know would cause such disqualification.
Qualification as a Broadcast Licensee. Buyer is, and at Closing shall be, legally, financially and otherwise qualified under the Communications Act to acquire the Target Company and the FCC Licenses from Seller and to be the licensee of the FCC Licenses. Neither Buyer nor its Affiliates nor any other Person with an “attributable interest” (as defined in the Communications Act) in Buyer, has an attributable interest in any television station or other business regulated by the FCC that is located within the Station’s Designated Market Area. To Buyer’s Knowledge, there is no fact or circumstance that would, under the Communications Act or otherwise, (i) disqualify Buyer or its Affiliates or any other Person with an attributable interest in Buyer as the owner and operator of the Station or constitute grounds for the filing of a petition to deny or objection related to the qualifications of the Buyer, or (ii) cause the FCC to fail to provide the FCC Consent in a timely fashion based on the qualifications of Buyer or to condition the FCC Consent on the sale, divestiture or disposition of any of Buyer’s or its Affiliates’ assets or operations, whether by consent, decree, hold separate order or otherwise. No waiver of any FCC rule, regulation or policy existing as of the date of this Agreement will be required, with respect to Buyer, to obtain the FCC Consent. Buyer is not an entity in which any owner, parent, subsidiary or Affiliate of ABC Television Network, Fox Television Network or NBC Television Network (or the WB Television Network or its successor) has a twenty percent (20%) or greater equity interest.
Qualification as a Broadcast Licensee. Buyer is familiar with the Communications Laws. Except as set forth on Schedule 4.1, Buyer is legally and financially qualified under the Communications Laws to acquire the Station from Seller. Except as set forth on Schedule 4.1, there is no fact or condition known to Buyer that would, under the Communications Laws, disqualify Buyer as owner and operator of the Station or constitute grounds for the filing of a petition to deny or objection related to the qualifications of Buyer or that would reasonably be expected to result in a delay for FCC approval of the assignment applications. Except as set forth on Schedule 4.1, to Buyer’s Knowledge, no waiver of any Communications Laws existing as of the date hereof will be required, with respect to Buyer, to obtain FCC approval of the assignment applications.
