Quality Control Testing and Spot Checks. The Licensed Articles manufactured by Licensee pursuant to this Agreement shall be subject to such quality control testing procedures as have previously been delivered to Licensee or approved in writing by Licensor or may be delivered to Licensee by Licensor from time to time during the Term of this Agreement. In this connection, Licensee expressly covenants and agrees that it shall not ship any Licensed Article to any destination if any such Licensed Article fails the quality control testing procedures required hereunder. In addition, upon Licensor's reasonable request and at no additional cost to Licensor, Licensee shall supply Licensor with reasonable quantities of additional samples of the Licensed Articles and related promotional and packaging materials for off-site quality control inspection. c.

Quality Control Testing and Spot Checks. Upon request by the Licensor, the Licensor shall be entitled to review and inspect production samples of the Zi Products manufactured by the Licensee (including, without limitation, EFB Zi-Pulp and EFB Zi-Chips) or any Sublicensee for conformance with this Agreement. Such samples shall include the Zi Products and all associated packaging, labeling and advertising. In the event that any Zi Products or packaging, labeling or advertising materials bearing any Trademarks do not, in the Licensor’s reasonable judgment, meet the specifications or quality standards set forth in this Agreement, or established by the Licensor during the Term hereof, the Licensor shall notify the Licensee and the applicable Sublicensee, as the case may be, in writing of any such deficiencies. The Licensee shall not offer for sale, sell or otherwise distribute, and the Licensee shall cause its Sublicensees not to offer for sale, sell or otherwise distribute, any Zi Products bearing any of the Trademarks if the Licensee has been notified by the Licensor that any such Zi Product or any packaging, labeling and advertising materials bearing any Trademarks fails to meet any such specifications or quality standards, including, but not limited to, any failure of such Zi Products under any of the quality control testing procedures of the Licensor.

  • Quality Control A. Controlled Affiliate agrees to use the Licensed Marks and Name only in connection with the licensed services and further agrees to be bound by the conditions regarding quality control shown in attached Exhibit A as they may be amended by BCBSA from time-to-time.

  • Quality Control Procedures The Seller must have an internal quality control program that verifies, on a regular basis, the existence and accuracy of the legal documents, credit documents, property appraisals, and underwriting decisions. The program must be capable of evaluating and monitoring the overall quality of its loan production and servicing activities. The program is to ensure that the Mortgage Loans are originated and serviced in accordance with prudent mortgage banking practices and accounting principles; guard against dishonest, fraudulent, or negligent acts; and guard against errors and omissions by officers, employees, or other authorized persons.

  • Quality Assurance Licensee agrees that all use of the Licensed Subject Matter shall be only upon the Products manufactured by or for Licensee in accordance with quality standards approved by Licensor prior to the commencement of manufacturing of the Products. Licensee shall submit for Licensor's sole and absolute approval the type of cereal, the name of cereal, the packaging design, advertising material, and all other materials to be used in connection with the Products subject to the sole and absolute approval of Licensor which shall not be unreasonably delayed or withheld.

  • Change Management BNY Mellon shall require that changes to its network or software used to provide the services are tested and applied pursuant to a documented change management process.

  • Acceptance Testing The MCP must have the capability to report all elements in the Minimum Data Set as set forth in the ODJFS Encounter Data Specifications and must submit a test file in the ODJFS-specified medium in the required formats prior to contracting or prior to an information systems replacement or update.
