Quotes Assistance Services. This project will be advertised by email to select contractors, and all aspects of the quoting process will be handled by SEH and the Town of Munster Public Works. Any quoting questions related to this work should be forwarded to and answered by XXX. All quoting document content and any addenda content related to water tower maintenance required will be submitted for inclusion in their complete set of quoted documents. Schedule: Upon your authorization, SEH is ready to proceed. The overall project schedule is based on the Town’s ability to remove these facilities from service independently without detriment to its water distribution system or residents. As identified above, a formal timing of the project will be confirmed with Town staff. Aside from scheduling issues specific to demands on water distribution, ambient conditions needed for proper coating application and cure are required. Therefore, our schedule will consider timing, sequencing of operations, and product selection. Event Date Consultant Selection 1st week of August 2024 Submit Draft Plans/Specifications for Town Review 4th week of August 2024 Advertise for Quotes 1st week of September 2024 Project Award 2nd week of September 2024 Preconstruction Meeting (Virtual) 2nd week of September 2024 Early Project Commencement* 3rd week of September 2024 Late Project Completion (Substantial)* 4th week of September 2024 *Project schedule dates are flexible to meet the demands of the Town for these facilities and will be finalized based on when the water tower may be taken out of service for the Two (2) week contract duration; however, we recommend completing the design and quoting phases as soon as practical to capitalize on current market pricing. Project completion is scheduled allowing sufficient time to complete the project within the 2024 construction seasons in the event of unforeseen delays – Virtual Meetings will be completed to assist since time is of the essence to complete the project this season. Payment: SEH proposes to complete Tasks 1-4, identified under Scope on an Hourly, Not- to-Exceed basis for the fee of $22,275.00.   • General All payments to be made by the Borrower shall be made without condition or deduction for any counterclaim, defense, recoupment or setoff. Except as otherwise expressly provided herein, all payments by the Borrower hereunder shall be made to the Administrative Agent, for the account of the respective Lenders to which such payment is owed, at the Administrative Agent’s Office in Dollars and in immediately available funds not later than 2:00 p.m. on the date specified herein. The Administrative Agent will promptly distribute to each Lender its Applicable Percentage (or other applicable share as provided herein) of such payment in like funds as received by wire transfer to such Lender’s Lending Office. All payments received by the Administrative Agent after 2:00 p.m. shall be deemed received on the next succeeding Business Day and any applicable interest or fee shall continue to accrue. If any payment to be made by the Borrower shall come due on a day other than a Business Day, payment shall be made on the next following Business Day, and such extension of time shall be reflected in computing interest or fees, as the case may be.

  • Termination This Agreement may be terminated at any time prior to the Closing:

  • Notices Any notice, request or other document required or permitted to be given or delivered to the Holder by the Company shall be delivered in accordance with the notice provisions of the Purchase Agreement.

  • Miscellaneous The Vendor acknowledges and agrees that continued participation in TIPS is subject to TIPS sole discretion and that any Vendor may be removed from the participation in the Program at any time with or without cause. Nothing in the Agreement or in any other communication between TIPS and the Vendor may be construed as a guarantee that TIPS or TIPS Members will submit any orders at any time. TIPS reserves the right to request additional proposals for items or services already on Agreement at any time.

  • NOW, THEREFORE the parties hereto agree as follows:

  • Indemnification In the event any Registrable Securities are included in a Registration Statement under this Agreement:

  • WHEREAS the Company desires the Warrant Agent to act on behalf of the Company, and the Warrant Agent is willing to so act, in connection with the issuance, registration, transfer, exchange, redemption and exercise of the Warrants; and

  • Term The term of this Agreement will be ten (10) years from the Effective Date (as such term may be extended pursuant to Section 4.2, the “Term”).

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
