Ratification of Documents. Seller hereby ratifies, confirms, and reaffirms all terms and conditions of the Purchase Agreement.

The Borrower and Guarantors acknowledge that Administrative Agent, Syndication Agent, Documentation Agent and the Lenders party hereto are entering into this Amendment in reliance on the truth and accuracy of the representations and warranties in this Amendment. Despite any past or future acceptance of late or partial installment payments, any prior reinstatement, any prior negotiations, or any other actual or implied forbearance of any nature by Administrative Agent, Syndication Agent, Documentation Agent and/or any of the Lenders party hereto, time remains of the essence of this Amendment and of the Credit Documents.

All references to any of the Documents shall mean the applicable Document as modified by this Amendment and all references to the Note or Notes in any of the Documents shall mean, collectively, the Notes as modified herein.
Ratification of Documents. PI, PINT and NTPCD hereby ratify and confirm the Original Agreement, as amended hereby. PI acknowledges and confirms that the liens and security interests granted under the Original Agreement remain in full force and effect and are unimpaired by the transfers by PI to PINT and NTPCD and the transactions contemplated hereby.
Ratification of Documents. Borrower hereby ratifies and confirms the Credit Agreement, and all instruments, documents and/or agreements executed and/or delivered by Borrower to Lender in connection therewith, and Borrower represents to Lender that (i) they remain in full force and effect, and Borrower is in full and complete compliance therewith; (ii) all representations and warranties made thereunder are true and correct as of the date hereof; and (iii) no Event of Default exists. Additionally, current calculations with respect to Section 6.7 (Leverage Ratio) are set forth on Schedule "2" hereto.
