Recordation of Memorandum of Agreement. City, at its sole cost and expense, may cause a memorandum of this Agreement (in a form and substance to be reasonably agreed upon by the parties) to be recorded with the Xxxx County Recorder of Deeds.
Recordation of Memorandum of Agreement. The Parties agree to execute and deliver a Memorandum of this Agreement in proper form for recording and/or indexing in the appropriate land or governmental records. Recordation of Memorandum of Agreement. This Memorandum of Agreement evidences that certain unrecorded agreement entitled “Operating Covenant Agreement” between the City and the Developer dated as of July 12, 2016 (“Agreement”) and when recorded shall encumber that certain property referred to herein as the “Site”, which Site is more particularly described in Exhibit A attached hereto and incorporated herein by reference. Capitalized terms not defined herein shall have the meanings set forth in the Agreement. The City and the Developer have agreed, among other things, that the Project shall contain the facilities and amenities, and be of a design, finish and overall quality meeting the standards set forth in the Agreement and be operated as an Hotel in compliance with the Agreement for a period commencing on the Opening of the Hotel and terminating on the twentieth (20th) anniversary of the Opening (the “Operating Covenant Period”) in accordance with the requirements of the Agreement, including without limitation, the requirement that it be constructed and operated as a AAA Four Diamond Hotel. The Agreement is on file with the City as a public record.

Recordation of Memorandum of Agreement. (a) Concurrently with a Developers acquisition of a Developer Parcel, a Memorandum of DDA shall be recorded in the Official Records against title to the applicable Developer Parcel, subject only to such liens, encumbrances and other exceptions to title approved in writing and in advance by the Commission.
(b) As part of the Affordable Development Close of Escrow, the Affordable Housing Regulatory Agreement shall be recorded in the Official Records against title to the Affordable Development Parcel, subject only to such liens, encumbrances and other exceptions to title approved in writing and in advance by the Commission. The Affordable Housing Regulatory Agreement shall be recorded senior to all liens and will not be subordinated, without the prior approval of the Executive Director, or by any person(s) who have been designated in writing by the Executive Director. Without limiting the generality of the foregoing, the Commission agrees that in the event of a foreclosure, or delivery of deed in lieu of foreclosure, of any lien recorded in connection with financing approved in the Affordable Housing Financing Plan, the Commission hereby agrees that, to the extent required by any other lender in connection with the Affordable Development Parcel and to the extent such modification is necessary to make the Affordable Housing Development financially feasible, the rents and affordability restrictions in the Regulatory Agreement shall be increased to the minimum extent required necessary to achieve financial feasibility of the Affordable Housing Development; .
Recordation of Memorandum of Agreement. The parties may, following the execution of this Agreement, cause a memorandum of this Agreement to be recorded in the county where the Property is situated, which memorandum shall describe, among other things, the Property and the names and addresses of the parties hereto.
