Recordation of Memorandum of Agreement. City, at its sole cost and expense, may cause a memorandum of this Agreement (in a form and substance to be reasonably agreed upon by the parties) to be recorded with the Xxxx County Recorder of Deeds.
Recordation of Memorandum of Agreement. The Parties agree to execute and deliver a Memorandum of this Agreement in proper form for recording and/or indexing in the appropriate land or governmental records. Such Memorandum shall be recorded by the City, and proof of recording shall be provided to the Developer.
Recordation of Memorandum of Agreement. This Memorandum of Agreement evidences that certain unrecorded agreement entitled “Operating Covenant Agreement” between the City and the Developer dated as of July 12, 2016 (“Agreement”) and when recorded shall encumber that certain property referred to herein as the “Site”, which Site is more particularly described in Exhibit A attached hereto and incorporated herein by reference. Capitalized terms not defined herein shall have the meanings set forth in the Agreement. The City and the Developer have agreed, among other things, that the Project shall contain the facilities and amenities, and be of a design, finish and overall quality meeting the standards set forth in the Agreement and be operated as an Hotel in compliance with the Agreement for a period commencing on the Opening of the Hotel and terminating on the twentieth (20th) anniversary of the Opening (the “Operating Covenant Period”) in accordance with the requirements of the Agreement, including without limitation, the requirement that it be constructed and operated as a AAA Four Diamond Hotel. The Agreement is on file with the City as a public record.
Recordation of Memorandum of Agreement. Upon the execution of this Agreement, the parties shall execute, acknowledge and cause to be recorded in the Official Records of Yolo County a Memorandum of Agreement, substantially in the form of Exhibit C to this Agreement, sufficient to give notice of the First Rights, the term of the First Rights and the rights of R.X. Xxxxxxxx xnd Owner hereunder. Upon expiration or termination of the First Rights, R.X. Xxxxxxxx xhall execute, acknowledge and deliver to the Owner, no later than three days after the termination or expiration of the First Rights, a quitclaim deed or other reasonable documentation in recordable form to verify the termination or expiration of the First Rights.
Recordation of Memorandum of Agreement. Developer shall cause the Memorandum of Agreement to be recorded against the Site Concurrently with Closing of City conveyance of City Property to Developer pursuant to Purchase/Sale Agreement
Recordation of Memorandum of Agreement. Within 30 days after this Agreement is recorded in the Official Records, Developer shall record a memorandum of agreement in the Official Records that summarizes the City’s Right of Purchase.
Recordation of Memorandum of Agreement. This Memorandum of Agreement evidences that certain Economic Assistance Agreement between the City and the Owner dated , 2009 (“EAA”) and when recorded is a lien against the Site, which Site is more particularly described in Exhibit A attached hereto and incorporated herein by reference. Capitalized terms not defined herein shall have the meaning set forth in the EAA. The Parties have agreed, among other things, that the Hotel shall contain the facilities and amenities, and be of a design, finish and overall quality meeting the standards set forth in the EAA and, in particular Section 301.3 thereof, and be operated in accordance with the Luxury Hotel Requirements for the Feasibility Gap Period.
Recordation of Memorandum of Agreement. Owner shall cause the Memorandum of Agreement to be recorded against the Site Within ninety (90) days after execution.
