Recordations and Filings. The Lessee shall cause to be made the recordations and filings set forth in Schedule 1 hereto on or prior to the Refunding Date and represents that such filings and recordations are all the recordations and filings necessary to preserve, protect and perfect the Owner Trustee's right, title and interest in and to the Undivided Interest, the Ground Lease Property and under the Facility Lease, as amended by Lease Amendment No. 1, and the security interest of the Indenture Trustee in the Lease Indenture Estate under the Indenture, as amended by Supplemental Indenture No. 2.
Recordations and Filings. The Agent shall have received evidence satisfactory to it in its reasonable discretion from special STB counsel to the Borrower and from special Canadian counsel to the Borrower, oral or email confirmation that no Liens exist on the applicable Railcars and Leases to be acquired by the Borrower on the Funding Date, which would have priority over the Liens granted to the Collateral Agent on the Funding Date (and within three (3) Business Days of the Funding Date, the Borrower shall procure an opinion addressed to the Agent and each Lender, dated the Funding Date, substantially in the form of Exhibits D-4 and D-5 hereto, respectively, and covering such additional matters incident to the transactions contemplated hereby as the Agent may reasonably request).

The Agent shall have received evidence satisfactory to it in its reasonable discretion from the official records of the STB and the Registrar General of Canada (and a legal opinion in form and substance reasonably acceptable to the Agent) that the Security Agreement (or a memorandum thereof) and each applicable Xxxx of Sale and Security Agreement Supplement (as defined in the Security Agreement) have been registered, recorded or filed for recordation in accordance with Applicable Law. No filings will be made in Mexico.

On any Funding Date, the Agent shall have received evidence satisfactory to it in its reasonable discretion from special STB counsel to the Borrower, oral or email confirmation that no Liens exist on the applicable Railcars and Leases to be acquired by the Borrower on such Funding Date which would have priority over the Liens granted to the Collateral Agent on such Funding Date (and within three Business Days of such Funding Date, the Borrower shall procure an opinion addressed to the Agent and each Lender, dated such Funding Date, substantially in the form of opinions provided on the Closing Date pursuant to Section 4.01(f)(ii) and Section 6.19 respectively, and covering such additional matters incident to the transactions contemplated hereby as the Agent may reasonably request).

The Administrative Agent shall have received evidence satisfactory to it in its reasonable discretion from special STB counsel to the Borrower and from special Canadian counsel to the Borrower, that no Liens exist on the applicable Eligible Railcars to be acquired by the Borrower on the applicable Funding Date which would have priority over the Liens granted to the Collateral Agent on such Funding Date and an opinion addressed to the Administrative Agent, the Collateral Agent and each Lender, dated the applicable Funding Date, substantially in the form of Exhibits D-2 and D-3 hereto, respectively, and covering such additional matters incident to the transactions contemplated hereby as the Administrative Agent or Collateral Agent may reasonably request.
Recordations and Filings. The Administrative Agent shall have received evidence satisfactory to it in its reasonable discretion from the official records of the STB and the Registrar General of Canada (and a legal opinion in form and substance reasonably acceptable to the Administrative Agent or its counsel) that the Security Agreement (or a memorandum thereof) has been registered, recorded or filed for recordation in accordance with Applicable Law or will be registered, recorded or filed as soon as practicable following closing. No filings will be made in Mexico.
Recordations and Filings. As soon as practicable following the Closing, Contributor shall, subject to Section 2.4, complete all recording of instruments and associated filings with Governmental Authorities required for consummation of the transactions contemplated by this Agreement and provide the original recorded instruments and copies of such filings to Company.
Recordations and Filings. Following the Closing Date, Purchaser shall be responsible for and bear, and reimburse Novartis for, any and all costs associated with any recordation of the Patent Assignment Agreement, and the Domain Name and Website Assignment Agreement.
