RECORDINGS AND MATERIALS. Puget Sound may record the Guest and the Performance and use materials submitted in connection with the Performance as further described in Attachment A to this Agreement. RECORDINGS AND MATERIALS. 7.1 The Client shall procure the collection of the Recordings and ancillary materials (if any) ("the Materials") immediately upon payment in full of the Company's invoice applicable thereto ("the Collection Date") 7.2 After the Collection Date: 7.2.1 notwithstanding any other provision contained within the Conditions the Materials shall be held by the Company solely at the risk of the Client 7.2.2 the Client shall be liable to the Company for such reasonable charges as the Company may raise against the Client for the continued storage of the Materials 7.2.3 the Company shall be entitled to serve notice on the Client requiring the Client to collect the Materials within 3 (three) months of the date of such notice failing which the Company shall be entitled to destroy or otherwise dispose of the Materials 7.3 Notwithstanding the foregoing until such time as the Company shall be in receipt of cleared payment of all the Fees: the Company shall be entitled to retain possession of all of the Materials 7.4 Notwithstanding any other provision contained within the Conditions the Client hereby acknowledges and agrees that all risk in the Materials when in transit or otherwise off the Company's premises shall vest in the Client 7.5 The Company retains a general lien on any property of the Client, Master Recordings and or Materials in its possession for any unpaid balance the Client may owe to the Company .
RECORDINGS AND MATERIALS. I hereby irrevocably grant MSEF and its affiliates, officers, directors, sponsors, agents, employees and other third parties designated by MSEF (together “MSEF Representatives”) the right to create and use as set forth below: (i) film, audio, visual, and photographic recordings of me in any and all manner and media formats now known or hereafter existing (collectively “Recordings”), and (ii) materials and media from the Recordings or that use my name, image, likeness, voice, appearance, other recognizable features, any information or materials that I provide MSEF, story, testimonial, biographical information, and personal history (collectively “Materials”).   • Time and Materials If this contract is designated as a Time and Materials contract, invoicing and payment shall be as follows: (a) Consultant shall submit invoices, not more often than once a month during the term of this agreement, based on the cost for work performed in accordance with the Rate Schedule in the Scope of Work and authorized reimbursable expenses incurred prior to the invoice date. Invoices shall contain the following information: (i) Serial identifications of bills, i.e., Xxxx No. 1; (ii) The beginning and ending dates of the billing period; (iii) A summary containing the total contract amount, the amount of prior xxxxxxxx, the total due this period, percentage of work completed, the remaining balance available for all remaining billing periods, and a brief description of work completed during the billing period. The Board recognizes that appropriate texts, library reference facilities, maps and globes, laboratory equipment, audio-visual equipment, art supplies, athletic equipment, current periodicals, standard tests and questionnaires, computers, and similar materials are the tools of the teaching profession. B. Efforts shall be continued to seek and use instructional materials which reflect the contribution and presence of diverse ethnic and cultural groups. C. 1. Selection of instructional materials for each school shall be made by a committee of teachers chosen by the faculty within that school.

  • Promotional Materials In the event that the Fund or the Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Adviser will install and maintain, or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.
