Recoupment of Compensation. Notwithstanding the provisions of this Agreement, the City reserves the right to seek recoupment, through the disciplinary process, of any compensation as a result of abuse or a violation of City policies.
Recoupment of Compensation. Notwithstanding any other provision of this Agreement, all payments and benefits otherwise due under this Agreement will be subject to recoupment (i) in accordance with the Diamond Resorts International, Inc. Executive Officer Incentive Compensation Recoupment (Clawback) Policy, effective April 2, 2015, and attached to this First Amendment as Exhibit “A”, and/or (ii) in accordance with any revisions or amendments to that Policy to the extent required by applicable law, by the rules of the Securities and Exchange Commission, or by the listing requirements of the New York Stock Exchange (or other exchange on which the Company's securities may be listed). No recovery of compensation hereunder will be an event giving rise to a right to resign for Good Reason or “constructive termination” (or similar term) under any agreement with the Company or applicable law.
Recoupment of Compensation. Performance-related Bonuses, other incentive compensation, and Equity Awards paid or granted to Executive, whether pursuant to this Agreement or otherwise, will be subject to those terms and conditions of any applicable Recoupment Policy.
Recoupment of Compensation. The Participant acknowledges and agrees that, if applicable, the RSUs granted hereunder shall be subject to potential forfeiture or recoupment under the existing policy on the recovery of compensation or other proceeds as adopted by the Board prior to the date hereof, as such policy may be amended from time to time.
Recoupment of Compensation. Executive agrees that the compensation and benefits provided by the Company under this Agreement or otherwise, including any cash compensation or equity compensation and including incentive compensation, is subject to recoupment or clawback by the Company as may be required or provided by applicable federal or state law, rule or regulation, including without limitation The Dxxx–Fxxxx Xxxx Street Reform and Consumer Protection Act and any implementing regulations thereunder, and/or any recoupment or clawback rules, regulations or policies adopted by the Securities and Exchange Commission or the listing standards of any stock market, stock exchange, association or trading platform on which the Company’s Common Stock is listed or traded, and/or any recoupment, clawback or compensation recovery policy that the Company is required to adopt or may adopt (whether or not required by applicable law), in addition to any other remedies that may be available under such policies, requirements or laws (including cancellation of outstanding cash or equity awards and the recoupment of any gains realized with respect to awards); and Executive agrees to comply with any such policies that the Company may adopt or may be required to adopt. Executive agrees that no such recovery of compensation, including pursuant to such a recoupment or clawback policy, will be an event giving rise to a right to resign for “Good Reason” under this Agreement.
Recoupment of Compensation. The Company may (i) cause the cancellation of any incentive compensation award previously issued to you, (ii) require reimbursement of any incentive compensation award by you and (iii) effect any other right of recoupment of equity or other compensation provided to you in accordance with any incentive compensation plan or award agreement or Company policies and/or applicable law (each, a “Clawback Policy”). In addition, you may be required to repay to the Company certain previously paid compensation, whether provided under this Agreement or otherwise, in accordance with any Clawback Policy.
Recoupment of Compensation. Executive agrees that the compensation and benefits provided by the Company under this Agreement or otherwise is subject to recoupment or clawback as may be required by applicable federal or state law, rule or regulation.
