Recourse for Damages. Notwithstanding Section 12.1, Borrower and Guarantor, jointly and severally, shall be personally liable for, and the provisions of Section 12.1 shall not in any way limit or constitute a waiver of the right of Lender to enforce the liability and obligation of Borrower and Guarantor, by money judgment or otherwise, for the following, all of which shall be the personal obligation and liability of Borrower and Guarantor to Lender under this Agreement: (a) without limiting the provisions of Section 12.2 above, the amount of (i) any insurance proceeds, condemnation awards or other sums or payments attributable to the Property which are not applied in accordance with the provisions of the Loan Documents or are misapplied or misappropriated by any Individual Borrower or Affiliated Manager or at the direction of, or with the consent or acquiescence of, any Individual Borrower or Affiliated Manager, as the case may be; (ii) all Rents and Receipts of the Property received or collected by or on behalf of Borrower or any Borrower Party and not applied in accordance with the Loan Documents and/or otherwise received after the occurrence and during the continuance of an Event of Default (other than by Lender or Servicer) and not applied in accordance with the Loan Documents; (iii) any Security Deposits or Rents or early lease termination fees collected in advance (other than by Lender or Servicer) or any other funds held by Borrower for the benefit of another party, in each case which are misappropriated, or which are not delivered to Lender (including the transfer of any letters of credit to Lender as beneficiary thereof), after the occurrence and during the continuance of an Event of Default, or which are not applied in accordance with the provisions of this Agreement, and any misappropriation or conversion of proceeds of any letter of credit posted by any Tenant; and (iv) all reasonable costs and expenses, including reasonable attorneysfees and expenses, actually incurred in collecting any amount due under the Loan Documents which is a recourse obligation of Borrower or Guarantor as described in Section 12.2 or this Section 12.3, or an obligation of Borrower under the Environmental Indemnity; and (b) without limiting the provisions of Section 12.2 or clause (a) above, any liability, loss, damage, cost, claim, expense or other obligation (including, without limitation, reasonable attorneys’ fees and expenses) actually incurred by Lender resulting from any and all of ...

Recourse for Damages. (a) Subject to the limitations set forth in this Article X, the Escrow Fund shall be available to compensate Parent for, any and all losses (including lost revenues and profits and diminution in value), damages, fines, fees, Taxes, penalties, deficiencies, interest, judgments, settlements, claims, liabilities, costs and expenses, including Legal Expenses (collectively, "Damages") arising out of, based upon or resulting from any inaccuracy in or omission from any representation or warranty, or any breach of or default in connection with any covenant or agreement, given or made (i) by the Company in this Agreement, the Company Disclosure Schedule, any agreement forms of which are annexed as Annexes to this Agreement, or any certificate delivered pursuant to this Agreement, or (ii) by any of the stockholders of the Company in any Voting and Stockholder Representation Agreement and Release delivered in connection with this Agreement. The Escrow Fund shall be security for this obligation, subject to the limitations in this Agreement. If the Merger is consummated, recovery from the Escrow Fund shall be the exclusive remedy under this Agreement for any such inaccuracy or omission and any such breach or default, except in the event of any fraud, intentional misrepresentation or willful breach, for which there shall be no limitation on the remedies of Parent. Notwithstanding the foregoing, Parent may not make claims against the Escrow Fund unless the aggregate Damages incurred or sustained exceed one hundred thousand dollars ($100,000) (at which such time claims may be made for all Damages incurred or sustained).

  • Liability for Damages Nothing in this Section shall preclude the Borrower or any Lender from asserting against any LC Issuing Bank any claim for direct (but not consequential) damages suffered by the Borrower or such Lender to the extent, but only to the extent, caused by (A) the willful misconduct or gross negligence of such LC Issuing Bank in determining whether a request presented under any Letter of Credit issued by it complied with the terms thereof or (B) such LC Issuing Bank's failure to pay under any such Letter of Credit after the presentation to it of a request strictly complying with the terms and conditions thereof.

No Indemnitee referred to in subsection (b) above shall be liable for any damages arising from the use by unintended recipients of any information or other materials distributed by it through telecommunications, electronic or other information transmission systems in connection with this Agreement or the other Loan Documents, the Related Documents or the transactions contemplated hereby or thereby other than for direct or actual damages resulting from the gross negligence or willful misconduct of such Indemnitee as determined by a final and nonappealable judgment of a court of competent jurisdiction.
