Registrations and Approvals. Waldo shall undertake all measures reasonably necessary to obtain any approval, permit, license or other authorization of any governmental authority which may be required in connection with implementation of any of the transactions herein contemplated (including, without limitation, any approvals from or notifications to the RF Antimonopoly Committee, Securities Commission or Ministry of Finance which may be required pursuant to applicable law), and shall make such registrations and notifications to governmental authorities as may be required by applicable law in connection therewith.

Each of the Initial Sellers shall undertake all measures reasonably necessary to obtain any approval, permit, license or other authorization of any governmental authority which may be required in connection with implementation of any of the transactions herein contemplated (including, without limitation, any approvals from or notifications to the RE Antimonopoly Committee, Securities Commission or Ministry of Finance which may be required pursuant to applicable law), and shall make such registrations and notifications to governmental authorities as may be required by applicable law in connection therewith.
Registrations and Approvals. Anthra agrees to file the Registrations and, subject to Section 2.3, to use commercially reasonable efforts to obtain the Approvals for the Territory. All such Registrations and Approvals shall be filed in the name of Anthra; provided, however, that Anthra shall take all necessary steps, pursuant to applicable Spanish, Portuguese and/or EU law or regulation, to cause Prodesfarma to be recorded as the distributor of the Product in the Territory, either by means of the initial Registration or a supplemental application that cross-references the Registration and identifies Prodesfarma as the distributor of the Product in the Territory, subject to Prodesfarma's timely provision to Anthra of such information (including, without limitation, trademarks) of Prodesfarma as Anthra may reasonably require in connection with such recordation.
Registrations and Approvals. No registrations, declarations or filings with, or consents, licenses, approvals or authorizations of, any legislative body, governmental department or government authority are necessary or required under any applicable law for the due execution and delivery by such Producer, or for the performance by such Producer, of this Agreement or the Trust Agreement, or to assure the validity or enforcement hereof or thereof with respect to such Producer, except such as have been obtained, copies of which have been provided to the Agent in connection with the execution and delivery of this Agreement and which remain in full force and effect.
Registrations and Approvals. In order to effectively execute this Agreement and make this Agreement come into effect, Tvia has obtained in the name of MediaTek all licences, permits, approvals and other authorisations as are necessary in order to enable MediaTek to own, operate, and use the Assets as they are currently being used. All such licenses, permits, approvals, and authorisations are in full force and effect and will not be terminated or forfeited as a result of the transactions contemplated hereby. No violations have been recorded or alleged in respect of any such licences, permits, approvals or authorisations, and no proceeding is pending or, to the knowledge of Tvia, threatened or contemplated with respect to the revocation or limitation of the same.
Registrations and Approvals. All consents, approvals, licenses and authorizations of, and all filings and registrations with, any governmental agency or authority necessary for the due execution and delivery of this Agreement have been obtained, and all consents, approvals, licenses, authorizations, filings and registrations necessary for the due execution and delivery of the Security Documents and for the performance or enforceability hereof and thereof (other than the registrations of the trademark assignments contemplated by the Assignment of Japanese Trademarks with the Japanese Registry of Patents and Trademarks) shall have been obtained and shall be in full force and effect prior to the Drawdown Date.
Registrations and Approvals. All governmental approvals, authorizations, consents, licenses, opinions, filings or registrations with any government agency in France required prior to the execution and delivery of this Agreement and the Note and the consummation of the transactions contemplated hereby and thereby have been obtained and are in full force and effect. All governmental approvals, authorizations, consents, licenses, opinions, filings or registrations with any government agency in France necessary for the performance by the Borrower of its obligations under this Agreement (including, without limitation, foreign exchange permits, if any, regarding US Dollar payments due or payable hereunder) shall have been obtained and shall be in full force and effect prior to the First Drawdown Date.
Registrations and Approvals. Subject only to the approvals and/or registrations, if any, of this Agreement (and all Schedules) by the relevant government authorities in China, Namtai and BPC have obtained all consents, licenses, permits, approvals and authorizations and have effected all declarations, filings and registrations necessary for the valid execution and delivery of this Agreement (and all Schedules).
Registrations and Approvals. Licensee is responsible for obtaining and maintaining at its cost all necessary Product registrations, approvals and permits and is further responsible for complying with all laws relating to the sale of the Products.
