Reimbursement for Materials. In the event of (A) a Specification change for any reason, (B) termination or expiration of this Agreement; or (C) obsolescence of any Raw Material, Client shall bear the cost of any unused Raw Materials (including packaging materials at […***…]), provided that Catalent purchased such Raw Materials in quantities consistent with Client’s most recent Firm Commitment and the supplier’s minimum purchase requirements.
Reimbursement for Materials. In the event of (A) a Specification change requested by Reliant or Cardinal Health for Reliant’s benefit and agreed by the Parties, or to comply with any new requirement of a Regulatory Authority, (B) termination of this Agreement by Reliant without cause or expiration of this Agreement; or (C) unforeseeable obsolescence of any Raw Material, Reliant shall bear the cost of any unused Raw Materials that cannot be used by Cardinal Health or returned for credit, provided that Cardinal Health purchased such Raw Materials in quantities consistent with Reliant’s most recent Firm Commitment and the supplier’s minimum purchase obligations.
Reimbursement for Materials. In the event of (A) a Specification change for any reason, (B) obsolescence of any Raw Material or (C) further to Section 16.3(C), termination or expiration of this Agreement, [ * ] shall bear the cost of any unused Raw Materials (including packaging), so long as [ * ].
Reimbursement for Materials. Cardinal Health shall use reasonable commercial efforts to maintain appropriate quantity of Raw Materials to meet the Firm Commitment. In the event of (A) a Specification change requested by CUSTOMER or PROVIDER for CUSTOMER’s benefit and agreed by CUSTOMER, or to comply with any new requirement of a Regulatory Authority and agreed by CUSTOMER, or (B) termination of this Agreement by CUSTOMER without cause or expiration of this Agreement, CUSTOMER shall bear the cost of any unused Raw Materials (at PROVIDER’s purchase cost) reasonably ordered consistent with the timelines of this Agreement and that cannot otherwise be used by PROVIDER or returned for credit, provided that PROVIDER purchased such Raw Materials in quantities consistent with CUSTOMER’s most recent Firm Commitment.
Reimbursement for Materials. In the event of (i) a Specification change requested by CPP or by sanofi-aventis for CPP’s benefit and authorized in writing by CPP, or to comply with any new requirement of a Regulatory Authority, which renders any Materials unsuitable for use in the manufacture of Products,(ii) termination of this Agreement by CPP without cause, or (iii) unforeseeable obsolescence of any Materials, CPP shall bear the cost of any unused Materials which cannot be otherwise used by sanofi-aventis or returned to the Authorized Supplier for credit, but only if sanofi-aventis purchased such Materials in quantities consistent with CPP’s most recent Demand Forecast and the Authorized Supplier’s minimum purchase requirement.
Reimbursement for Materials. In the event of (A) a Specification change for any reason, (B) termination or expiration of this Agreement, or (C) obsolescence of any Packaging component, AMAG shall bear the cost of any unused Packaging components, plus a markup equal to [***] of Catalent’s [***] cost of such Packaging components for waste, material handling and administration fees, provided that Catalent purchased such Packaging components in quantities consistent with AMAG’s most recent Firm Commitment.
Reimbursement for Materials. Company will reimburse Designer for materials for models, prototypes, and similar matters, up to a maximum of $ . Company will reimburse Designer for such expenses no later than days after delivery by Designer to Company of receipts and other documents reasonably requested by Company to substantiate the expense.
Reimbursement for Materials. In the event of (i) a Specification change for any reason, (ii) termination or expiration of this Agreement; or (iii) obsolescence of any Raw Materials, Targanta shall bear the cost of any unused Raw Materials, provided that Cardinal Health purchased such Raw Materials in quantities consistent with the [*] of Targanta’s Rolling Forecast and any minimum purchase obligations required by the Raw Material supplier. If materials were purchased by Cardinal Health in quantities exceeding the [*] of Targanta’s Rolling Forecast and such materials become obsolete, then Cardinal Health shall bear the cost of the unused Raw Materials.
Reimbursement for Materials. Brunswick shall promptly reimburse Provider for the cost of all packaging materials, forms and supplies necessary for Provider to carry out its obligations hereunder upon receipt of appropriate documentation therefor.
