Reimbursement of XXX Xxxxx Sample Clauses

Reimbursement of XXX Xxxxx. Portions of the Property are subject to a joint Financial Assistance Award by the federal Economic Development Administration (“EDA”) and, as such, are restricted to require industrial development on such portions of the Property. In order to release the restriction, a portion of the Financial Assistance Award (the “Federal Share”) associated with the Property must be repaid to EDA. Developer agrees to repay the Federal Share, which EDA estimated to be in the approximate amount of $347,320, subject to the terms and conditions set forth in this Section. As of the date that this Agreement is approved by the City Council, Developer shall have deposited into an escrow established for this purpose the Federal Share and any documentation reasonably deemed necessary to obtain a formal approval from EDA releasing the proposed acreage from the EDA, in compliance with that certain letter from EDA to the City, dated January 22, 2018 (the “EDA Escrow”). The Parties further acknowledge that Developer and City executed escrow instructions, subject to review and approval by City, setting forth the terms of release of the EDA Escrow to EDA. Notwithstanding any other provision of this Agreement, if Developer does not deposit into the EDA Escrow the Federal Share or the documentation required by this Section, City may terminate this Agreement in its sole and absolute discretion. After release of the funds in the EDA Escrow to City, Developer shall cooperate with City to obtain confirmation from EDA that the remittance of the Federal Share to EDA has released any restrictions relating to the Property arising from the Financial Assistance Award.

  • Distributions; Xxxxxx Xxx Guaranty On or before each Determination Date (or as soon thereafter as is reasonably practicable), Xxxxxx Mae shall calculate the Lower Tier Distribution Amount for the current calendar month. On each Distribution Date, Xxxxxx Xxx shall withdraw from the Certificate Account the portion of the Lower Tier Distribution Amount distributable thereon and shall make the distributions to the Holders of the related Lower Tier Regular Classes in the respective amounts and in the applicable manner determined pursuant to Section 2.02. In the event that the amount on deposit in the Certificate Account on any Distribution Date shall be less than the applicable portion of the Lower Tier Distribution Amount distributable thereon, Xxxxxx Mae shall provide from its own funds the amount of any such insufficiency. In addition, in the event that (i) the applicable portion of the Lower Tier Distribution Amount shall be insufficient to pay all interest due and payable on the related Lower Tier Regular Classes on such Distribution Date or (ii) such Distribution Date is a Final Distribution Date for any Class and the distribution on such Distribution Date of the applicable portion of the Lower Tier Distribution Amount will not be sufficient to reduce the Class Balance of such Class to zero on such Final Distribution Date, then Xxxxxx Xxx shall (a) withdraw from the Certificate Account, such amount as shall be necessary to remedy such insufficiency and (b) to the extent that funds in the Certificate Account shall be insufficient therefor, apply its own funds towards remedying the same.

The obligations of the Lenders under this clause (c) are subject to the provisions of Section 2.12(d).
