Relative Total Shareholder Return. The Earned Percentage of the RTSR Units shall be determined by reference to the Relative Total Shareholder Return (as defined below) and will be calculated in accordance with the following schedule: 25th or Less 0 % 50th 100 % 95th or Higher 200 %
Relative Total Shareholder Return. The term “Relative Total Shareholder Return” means the Company’s Total Shareholder Return relative to the Total Shareholder Return of the Peer Companies expressed as a percentile rank. Relative Total Shareholder Return will be determined by the percentile ranking of each Peer Company (including the Company) from the highest TSR to lowest TSR. The Peer Company ranked highest will be assigned the one hundred percentile (100%) rank and the Peer Company ranked lowest will be assigned a zero percentile (0.0%) rank. Each Peer Company ranked in between would be assigned a percentile equal to (1 minus ((r-1)/(n-1))), where “r” is the ranking of the Company in the list of Peer Companies and “n” is the total number of Peer Companies. For example, if there were twenty (20) Peer Companies and the Company had the fifth-highest Total Shareholder Return during the Performance Period, then the Relative Total Shareholder Return would equal (1-((5-1)/(20-1))) or .79 or the 79th percentile.
Relative Total Shareholder Return to be based on the Company’s 3-year average Relative TSR against the TSR Comparator Group as follows: The following definitions shall apply for purposes of determining the amounts payable pursuant to this Award:
Relative Total Shareholder Return. The level of achievement of the “Relative Total Shareholder Return” objective will be determined based on the Company’s total shareholder return (“TSR”) over the Performance Period (as defined below) relative to the TSR over the Performance Period of the companies in the Xxxxxxx 2000 Index. The Company’s performance shall be measured based on the percentile ranking of such performance within the 2000 companies in the Xxxxxxx 2000 Index plus the Company.

b. The Company’s ranking (in the range of highest to lowest) in the TSR Comparator Group at the end of the performance period beginning January 1, 2019, and ending December 31, 2021, will be determined by the Committee based on the TSR for the Performance Period for the Company and each of the members in the TSR Comparator Group as calculated below (with the highest number ranked first and the lowest number ranked last): 1 Any companies that are in the TSR Comparator Group at the beginning of the performance period that no longer exist at the end of the three-year performance period, (e.g., through merger, buyout, spin-off, or similar transaction), or otherwise change their structure or business such that they are no longer reasonably comparable to the Company, shall be disregarded by the Committee in the Committee’s calculation of the appropriate interpolated percentage.

Determination of Percentage Attributable to Relative Total Shareholder Return: The percentage attributable to the achievement of Relative Total Shareholder Return shall be determined in accordance with the following table based on the Company’s relative ranking in respect of the Performance Period with regard to Total Shareholder Return as compared to Total Shareholder Return of the Peer Companies (straight line interpolation will be used between levels): 90th Percentile or Above 200% 70th Percentile 150% 50th Percentile 100% 25th Percentile 50% Below the 25th Percentile 0%
Relative Total Shareholder Return. The term “Relative Total Shareholder Return” means the Company’s Total Shareholder Return relative to the Total Shareholder Return of the Peer Companies expressed as a percentile rank. Percentile rank shall be calculated with the Microsoft Excel formula PERCENTRANK, exclusive of the Company from the Peer Companies. The percentile rank of the Company shall be rounded down to the nearest one hundredth of one percent (0.01%).
Relative Total Shareholder Return. “Relative TSR”). Subject to the terms of the Agreement, the total number of Performance-Vested RSUs that become vested based on the achievement of Relative TSR (as defined in Paragraph 5 below) shall be equal to (x) the total number of Performance-Vested RSUs subject to Relative TSR set forth in Section 1 of the Agreement, multiplied by the Achievement Percentage during the period that begins on _______ and ends on _________________ (the applicable “Performance Period”), rounded to the nearest whole Performance-Vested RSU and, if equally between the two, rounded up: The Committee shall determine (i) the Total Shareholder Return for the Company for the Performance Period, (ii) the Total Shareholder Return for each Peer Group Member for the Performance Period, and (iii) the Relative TSR Percentile Rank for the Company. Notwithstanding anything to the contrary, if the Total Shareholder Return for the Company is negative over the Performance Period, then the Achievement Percentage with respect to the Company’s Relative TSR shall not exceed 100%.
