Release on Sale. From and after a Sale, Landlord shall be released from all liability toward Tenant and Tenant's successors and assigns arising from this Lease because of any act, occurrence or omission of Landlord occurring after such Sale, provided Landlord's purchaser or assignee expressly assumes Landlord's duties and covenants under this Lease.

Release on Sale. In connection with (a) any sale of all or substantially all of the assets of the Company, (b) the merger of the Company with another company whereby the shareholders of the Company do not own at least 50.1% of the entity surviving the merger, or (c) the sale of Common Stock and/or preferred stock by the Company to a person or group who, following such sale, control in excess of 50% of the outstanding votes entitled to be cast by the shareholders of the Company (the events described in the foregoing clauses (a), (b), and (c) are collectively referenced to as the "Material Events"), then, unless Xxxxxx otherwise agrees in writing, the Company shall use all reasonable best efforts to cause the Guaranty to be fully released in writing as part of the consummation and closing of any Material Event.

  • Release of Pledge 3.1 After the Pledgors and the Company fully and completely perform all of the Contractual Obligations and discharge all of the Secured Liabilities, the Pledgee shall, upon the Pledgors’ request, release the Equity Pledge under this Agreement and cooperate with the Pledgors to cancel the registration of the Equity Pledge on the Company’s register of shareholders and with the administration of industry and commerce in charge of the Company. The Pledgee shall assume the reasonable expenses arising out of the release of the Equity Pledge.

  • Release of Liens Neither any part of the retainage nor the Final Payment shall become due until the Contractor, if required, shall deliver to the Owner a complete release of all liens or conditional release of lien upon payment or claims arising out of this contract in accordance with the Owner’s specimen form (a copy of which will be provided to any bidder on request), or receipts in full in place thereof and, if required in either case, an affidavit that so far as he has knowledge or information the releases and receipts include all labor and materials for which a lien or claim could be filed; but the Contractor may, if any Subcontractor or claimant refuses to provide a release, furnish a bond satisfactory to the Owner to indemnify the Owner against any lien or claim. If any lien or claim remains unsatisfied after all payments are made, the Contractor shall refund to the Owner all monies that the latter may be compelled to pay in discharging such lien or claim, including all costs and reasonable attorney's fees.
