Rental Assistance Fund. The Trustee shall establish and hold the Rental Assistance Fund. The Trustee shall deposit into the Rental Assistance Fund such amounts specified in Section 5.4 on the Closing Date. Thereafter any additional amounts provided to the Trustee by the Borrower from time to time for deposit into such Fund, including, without limitation, transfers from the Surplus Fund, shall be deposited therein. Moneys deposited in the Rental Assistance Fund shall be held therein segregated from other funds held by the Trustee until disbursed, expended and/or invested in accordance with the instruction of the Borrower. Notwithstanding anything to the contrary in this Indenture, funds deposited into the Rental Assistance Fund are not Pledged Revenues and are not pledged to the payment of the Bonds.

Rental Assistance Fund. Developer will make a donation of five hundred thousand dollars ($500,000) to an experienced non-profit or rental assistance fund selected by Developer in consultation with the NAC to be used for rental assistance for qualifying renters within the Impact Area. Such donation shall be made in five (5) annual donations of one hundred thousand dollars ($100,000) with the first payment to be paid within ninety (90) days of the start of construction of the first residential housing project; provided that the fifth payment shall be made no earlier than ninety (90) days following the start of construction of the third residential housing project. This five hundred thousand dollar ($500,000) donation may be offset by, and shall be credited towards, contributions that HFH would pay to the City as part of its voluntary compliance with Executive Order 2021-2. Rental Assistance Fund. (a) Concurrently with the Close of Escrow and in accordance with the Indenture, the Trustee shall establish the Rental Assistance Fund and cause it to be funded in the manner provided in the Indenture. The Rental Assistance Fund shall be a trust account administered by the Oversight Agent or successor agent pursuant to subsection (d) below. Signature of the Oversight Agent or successor agent shall be required for withdrawal of any fimds from the Rental Assistance Fund. (b) Monies in the Rental.Assistance Fund shall.not be pledged to repayment of the Bonds and none of the Bondowners, the Trustee, or ACA (all as defined in the Bond Documents) or the Seller shall have any claim to such monies. If aD. event of default occurs under the Bond· Documents or the Agency Loan And Grant Documents, the Oversight Agent shall remit all monies in the Rental Assistance Fund to the Agency or as directed by the Agency in writing. (c) The Rental Assistance Fund shall be supplemented on an annual basis by the deposit of a.portion of the Net Operating Revenues, pursuant to the Indenture. (d) Withdrawals from the Rental Assistance Fund shall be administered by the Oversight Agent and shall be subject to the requirements of the Agency Loan and Grant Regulatory Agreement. In the event that the Oversight Agent ceases to operate as the Oversig4t Agent under the Bond Documents, or in the event the Agency is dissatisfied with the Oversight Agenes administration of the Rental Assistance Fund, the Agency shall select and appoint a substitute agent to administer the Rental Assistance Fund.

  • Mutual Assistance The Parties will do all things reasonably necessary or appropriate to carry out the terms and provisions of this Agreement and to aid and assist each other in carrying out such terms and provisions.

  • Distribution Assistance Fees (Asset-Based Sales Charge). Within ten (10) days of the end of each month, the Fund will make payments in the aggregate amount of 0.0625% (0.75% on an annual basis) of the average during the month of the aggregate net asset value of Shares computed as of the close of each business day (the "Asset-Based Sales Charge"). Such Asset-Based Sales Charge payments received from the Fund will compensate the Distributor for providing distribution assistance in connection with the sale of Shares. The distribution assistance services to be rendered by the Distributor in connection with the Shares may include, but shall not be limited to, the following: (i) paying sales commissions to any broker, dealer, bank or other person or entity that sells Shares, and/or paying such persons "Advance Service Fee Payments" (as defined below) in advance of, and/or in amounts greater than, the amount provided for in Section 3(b) of this Agreement; (ii) paying compensation to and expenses of personnel of the Distributor who support distribution of Shares by Recipients; (iii) obtaining financing or providing such financing from its own resources, or from an affiliate, for the interest and other borrowing costs of the Distributor's unreimbursed expenses incurred in rendering distribution assistance and administrative support services to the Fund; and (iv) paying other direct distribution costs, including without limitation the costs of sales literature, advertising and prospectuses (other than those prospectuses furnished to current holders of the Fund's shares ("Shareholders")) and state "blue sky" registration expenses.

  • EDUCATION AND ASSISTANCE FUND 18.01 The Employer shall contribute to the Union’s Education and Assistance Fund the amount identified at Schedule “A” for each hour worked by each employee covered by this Agreement, and shall remit such contributions to the Union together with union dues, and in the manner described at Article 7.04. 18.02 The Education and Assistance Fund shall be used by the Union to educate and instruct members in the competent practice of their trade, in matters relating to Health and Safety, and to instruct specific members in effective labour relations practices. 18.03 Having regard to the demands of the Employer’s work and operations, the Employer will cooperate with the Union when safety and related courses are made available to the members employed with the Employer.

  • Technical Assistance DFPS may provide informal support, guidance, clarification, and other forms of technical assistance via phone, email, and virtual meeting to resolve Grant or performance compliance issues. Grantee will document all such instances of technical assistance by DFPS in writing, including any implementation work.

  • Legal Assistance The Board shall give full support including legal and other assistance for any assault upon the employee while properly acting in the discharge of his/her duties.

  • OPWC Financial Assistance Subject to the terms and conditions contained herein, the OPWC hereby agrees to provide to the Recipient financial assistance not to exceed the amount as set forth in Appendix C of this Agreement for the sole and express purpose of paying or reimbursing the costs certified to the OPWC under this Agreement for the completion of the Project (the "Funds").

  • PROVISION OF FINANCIAL ASSISTANCE GRANT As authorized by Section II of this Agreement for the sole and express purpose of financing the Project defined and described in Appendix A of this Agreement, the estimated costs of which are set forth and described in Appendix D of this Agreement, the OPWC hereby agrees to provide financial assistance, subject to the terms and conditions contained in this Agreement, from the State Capital Improvements Fund which constitutes the proceeds of the Infrastructure Bonds, in an amount not to exceed Seven Hundred Forty-One Thousand, Three Hundred Seventy-Four Dollars ($741,374).
