REPORTS, RECORDS AND AUDITS. During the term of this Agreement, for so long as Licensee has a royalty obligation to Licensor under the terms hereof, Licensee shall deliver to Licensor within ten (10) days of the end of each calendar month a report setting forth in reasonable detail the Royalty Fee due to Licensor for such calendar month and Licensee’s calculation of the same. During the term of this Agreement, for so long as Licensee has a royalty obligation to Licensor under the terms hereof and for three (3) years thereafter, Licensee shall keep complete and accurate books and records in sufficient detail to enable Licensor to verify the amounts due to it hereunder. During the term of this Agreement, for so long as Licensee has a royalty obligation to Licensor under the terms hereof and for three (3) years thereafter, Licensor shall have the right, through a qualified independent auditor, to review and audit the books and records of Licensee for the purpose of verifying the accuracy of royalty payments made by Licensee under this Agreement. Such reviews and audits shall be conducted with reasonable prior written notice to Licensee, at Licensee’s place of business and during Licensee’s normal business hours, and shall not be conducted more than once per calendar year. Each review and audit hereunder shall be at Licensor’s sole cost and expense; provided, however, that Licensee shall promptly reimburse Licensor for all costs and expenses actually incurred in connection with a review and audit if the auditor determines that Licensee has underpaid by five percent (5%) or more during the relevant period under examination. Licensee will promptly pay Licensor the amount of any underpayment revealed by a review and audit, plus interest at the rate that is the lesser of 1.5% per month or the maximum rate allowed by law from the dates that any unpaid amounts were due.

(a) Thirty (30) days after the end of each calendar quarter, commencing with the first calendar quarter commencing after the Effective Date, MORPHOSYS shall deliver to XOMA a written report which shall specify the name, address and contact person for each and every MORPHOSYS Collaborator and any person or entity receiving Licensed Antibody Phage Display Materials or a Licensed Immunoglobulin.

The Plan shall submit a monthly report to Preferred Life listing the names and amounts for those Members who have received Eligible Hospital Services during the Contract Year which exceed seventy-five (75) percent of the per Member Deductible as set forth in Article II.

(a) ***** after the end of each calendar quarter, commencing with the first calendar quarter commencing after the Effective Date, AFFIMED shall deliver to XOMA a written report which shall specify the name, address and contact person for each and every potential and actual AFFIMED Collaborator and any person or entity with whom AFFIMED has engaged in Research, who has received any Transferred Materials or, in the case of the exercise of the Option in accordance with Section 2.5(a), who has received any clinical or commercial supplies manufactured by AFFIMED or with whom AFFIMED is engaged in the commercialization of an Immunoglobulin subject to the Option of Section 2.5(a). The reports delivered by AFFIMED to XOMA pursuant to this Section 2.8(a) shall be Confidential Information of AFFIMED.

If not specified by law, Tenant shall maintain all such records for no less than four (4) years. The Licensee hereby covenants, as part of the consideration for this Agreement, that it shall cause to be paid any and all reasonable costs associated with ensuring compliance with the record keeping, reporting and auditing procedures as defined herein by causing to be integrated into any sublicensing or other agreement entered into for the purposes herein contemplated sufficient provisions to ensure said compliance as against any Related Company, Affiliate, sublicensee or other third party.

(a) Forty-five (45) days after the end of each calendar quarter, commencing with the first calendar quarter commencing after the Effective Date, DIVERSA shall deliver to XOMA a written report which shall specify the name, address and contact person for each and every DIVERSA Collaborator and Development Partner of DIVERSA and any person or entity receiving Antibody Evolution services or a Licensed Immunoglobulin, in each case to the extent the activities conducted or to be conducted by DIVERSA for or with such DIVERSA Collaborator, Development Partner of DIVERSA or other person or entity involve or will involve any claim to the benefit of any license or right under XOMA Patent Rights and XOMA Know-How granted under this Agreement; provided, however, that such disclosure does not violate any confidentiality obligations that DIVERSA has to such DIVERSA Collaborator or Development Partner of DIVERSA and any person or entity receiving Antibody Evolution services or a Licensed Immunoglobulin. The reports delivered by DIVERSA to XOMA pursuant to this Section 2.6(a) shall be Confidential Information of DIVERSA.
