Representations and Warranties True on Closing Date. All representations and warranties contained in this Section 2 shall be true on and as of the Closing Date with the same effect as if made on and as of such date except due to changes in circumstances between the date hereof and the Time of Closing of which the Vendor shall have advised the Purchaser in writing at or before the Time of Closing.
Representations and Warranties True on Closing Date. The representations and warranties made by Seller in this Agreement shall be true in all material respects on and as of the Closing Date as though those representations and warranties were made on and as of the date thereof.

The Selling Stockholders have clearly and fully disclosed to Purchaser, in writing, all material facts concerning the Company necessary for Purchaser to accurately evaluate its investment in the Company and its Monitoring Business and Assets.

The representations and warranties of AEG and the AEG Subsidiaries made in this Agreement shall be true and correct in all material respects as of the Closing Date, and PEM and Newco shall have received a certificate of an officer of AEG and the AEG Subsidiaries certifying the same.

Each of Buyer’s representations and warranties made in Section 5 that is qualified by reference to a materiality qualifier shall be true and correct in all respects and each of the representations and warranties not so qualified shall be true and correct in all material respects, in each case, as of the Closing Date as though such representations and warranties were made as of the Closing Date, except for those representations and warranties made as of a particular date, which shall be true and correct as of such date.
