Each Party represents and warrants that as of the Effective Date: (a) it is duly organized and validly existing under the laws of the jurisdiction of its incorporation and has MI corporate power and authority to enter into this Agreement; (b) it has taken all corporate actions necessary to authorize the execution and delivery of this Agreement and the performance of its obligations under this Agreement; and (c) the performance of its obligations under this Agreement do not conflict with, or constitute a default under, its charter documents, any contractual obligation of such Party or any court order.

This Agreement constitutes its legal, valid and binding obligation and is enforceable against it in accordance with its terms. The party is authorized to enter into and perform this Agreement, and the performance of its obligations hereunder will not violate or conflict with its governing documents or agreements or any applicable law. No consent or authorization of, filing with or other act by or in respect of any governmental authority, is required in connection with the execution, delivery, performances, validity or enforceability of this Agreement.
