Representations of the Sponsor Affiliate. The Sponsor Affiliate represents and warrants to the County as follows:
(a) The Sponsor Affiliate is in good standing under the laws of the state of its organization, is duly authorized to transact business in the State (or will obtain such authority prior to commencing business in the State), has power to enter into this Joinder Agreement, and has duly authorized the execution and delivery of this Joinder Agreement.
(b) The Sponsor Affiliate’s execution and delivery of this Joinder Agreement, and its compliance with the provisions of this Joinder Agreement, do not result in a default, not waived, or cured, under any agreement or instrument to which the Sponsor Affiliate is now a party or by which it is bound.
(c) The execution and delivery of this Joinder Agreement and the availability of the FILOT and other incentives provided by this Joinder Agreement has been instrumental in inducing the Sponsor Affiliate to join with the Company in the Project in the County.
Representations of the Sponsor Affiliate. The Company hereby represents and warrants to the County as follows:
(a) The Sponsor Affiliate is a limited liability company organized under the laws of the State of Delaware and is qualified to conduct business in the State and has power to enter into this Fee Agreement.
(b) The Sponsor Affiliate’s execution and delivery of this Fee Agreement and its compliance with the provisions hereof do not result in a default, not waived or cured, under any agreement or instrument to which the Sponsor is now a party or by which it is bound.
(e) As required by the Act, the Sponsor Affiliate agrees to be bound by the terms of the Fee Agreement.
Representations of the Sponsor Affiliate. The Sponsor/Sponsor Affiliate represents and warrants to the County as follows:
(a) The Sponsor/Sponsor Affiliate is in good standing under the laws of the state of its organization, is duly authorized to transact business in the State (or will obtain such authority prior to commencing business in the State), has power to enter into this Joinder Agreement, and has duly authorized the execution and delivery of this Joinder Agreement.
(b) The Sponsor/Sponsor Affiliate’s execution and delivery of this Joinder Agreement, and its compliance with the provisions of this Joinder Agreement, do not result in a default, not waived or cured, under any agreement or instrument to which the Sponsor/Sponsor Affiliate is now a party or by which it is bound.
(c) The execution and delivery of this Joinder Agreement and the availability of the FILOT and other incentives provided by this Joinder Agreement has been instrumental in inducing the Sponsor/Sponsor Affiliate to join with the Company in the Project in the County.
Representations of the Sponsor Affiliate. The Sponsor Affiliate hereby represents and warrants to the County as follows:
(a) The Sponsor Affiliate owns good, marketable fee simple title to the Land.
Representations of the Sponsor Affiliate. The Sponsor Affiliate hereby represents and warrants to the County as follows:
(a) The Sponsor Affiliate is a corporation organized under the laws of the State of Delaware and is qualified to conduct business in the State and has power to enter into this Fee Agreement.
(b) The Sponsor Affiliate’s execution and delivery of this Fee Agreement and its compliance with the provisions hereof do not result in a default, not waived or cured, under any agreement or instrument to which the Sponsor is now a party or by which it is bound.
(c) As required by the Act, the Sponsor Affiliate agrees to be bound by the terms of this Fee Agreement insofar as such terms concern the Real Property owned by the Sponsor Affiliate which comprises the Project. The Sponsor Affiliate shall not be bound by any covenants that specifically apply only to the Sponsor and the Sponsor hereby indemnifies and holds the Sponsor Affiliate harmless in connection therewith.
Representations of the Sponsor Affiliate. STAG represents and warrants to the County as follows:
(a) STAG has the power to enter into this Joinder Agreement.
(b) STAG’s execution and delivery of this Joinder Agreement, and its compliance with the provisions of this Joinder Agreement, do not result in a default, not waived or cured, under any agreement or instrument to which it is now a party or by which it is bound.
