Representative’s Expenses. Any expenses incurred by any representative of any Project Participant or group of Project Participants serving on the Project Committee or any other committee in connection with their duties on such committee shall be the responsibility of the Project Participant which they represent and shall not be an expense payable under this Agreement.
Representative’s Expenses. The Representative acknowledges that all costs and expenses incurred in connection with any activities hereunder including, but not limited to, motor vehicle and travelling expenses, insurance and incidental expenses that may be incurred in conducting their business are the sole responsibility of the Representative. The Representative must not make claims to Silk for payment of any expenses.
Representative’s Expenses. Any expenses incurred by any representative of any SCPPA Participating Member or group of SCPPA Participating Members serving on the Coordinating Committee or any other committee in connection with his/her duties on such committee shall be the responsibility of the SCPPA Participating Member which he/she represents and shall not be an expense payable under this Agreement.
Representative’s Expenses. The Company further agrees that, in addition to the expenses payable pursuant to Section 3.9.1, upon the sale of the Firm Shares or any of the Option Shares, it shall pay to the Representative, as a non-accountable expense allowance, an amount equal to 3% of the gross proceeds payable to the Company from the sale of the Firm Shares and the Option Shares, if any are sold, of which $35,000.00 has been paid to date, and the Company shall pay the balance on the Closing Date as to the Firm Shares and any Option Closing Date as to Option Shares, by certified or bank cashier's check or, at the election of the Representative, by deduction from the proceeds of the offering contemplated hereby. In the event that within six (6) months of an alternate financing with an Underwriter other than the Representative are thereby presented from proceeding with the Registration Statement, then the Company will promptly pay the Representative $150,000 (in addition to the advances referred to in Paragraph 8 and Underwriter's counsel's Blue Sky Fees and expenses relating to the offering.
Representative’s Expenses. All expenses for travelling, entertainment, office, clerical, office and equipment maintenance and general selling expenses including sub-agent commissions that may be incurred by Sales Representatives in connection with this Agreement shall be borne wholly by the Sales Representatives. In no case shall Endako be responsible for such expenses.
Representative’s Expenses. The Representative shall be responsible for all of its expenses in connection with this Agreement such as, but not limited to, salaries, office expenses, correspondence, advertising, and any and all taxes imposed on the Representative. However, in respect for such expenses for which Gilat gave its express advanced written consent to the Representative, Gilat shall reimburse the Representative in respect of such expenses incurred by the Representative in the course of providing the Services, so long as the Representative provides actual receipts and such expenses are reasonable.
Representative’s Expenses. Parent shall pay all invoices -------------------------------------- submitted by the Stockholders Representative with respect to all reasonable out- of-pocket expenses incurred by Stockholders Representative in the performance of his duties hereunder, including fees and expenses of counsel, or if Stockholders Representative has paid such expenses, then to reimburse Stockholders Representative within 30 days of the submission of a written request for reimbursement.
Representative’s Expenses. If the Representative incurs any out-of-pocket expenses in connection with the performance of the Representative’s duties under this Agreement or the Share Acquisition Agreement, the Representative may give written notice to the Escrow Agent specifying in reasonable detail the nature and dollar amount of such expenses. If any Escrow Funds remain in the Escrow Account at the end of the Escrow Claim Period (as defined below) after distribution of all amounts due BSVN under Sections 4(a) and 4(b) hereof, the Escrow Agent shall distribute to the Representative the amount claimed in the Representative’s notice from (and only to the extent of) the Escrow Fund.
Representative’s Expenses. [In addition, the Servicer will pay to Barclays Capital, Inc. an amount, to be agreed separately in an expenses side-letter dated the date hereof, in lieu of reimbursement of their legal and other expenses in connection with the issue of the Class A2 Notes.]
Representative’s Expenses. Pan Asia shall bear the expenses incurred by its Representative in attending meetings of the Board of Directors and otherwise with respect to the role of such Representative as an executive member of the Board of Directors.
