Requirement of Insurance. IPA shall require each IPA Physician, other than those IPA Physicians listed on Attachment 3.30, annexed hereto and made a part hereof, to procure and maintain, and WellCare and IPA shall each procure and maintain a policy of general liability, professional liability and other insurance as may be necessary to protect against any claim for damages arising by reason of personal injury or death of a Member. IPA shall require that each such IPA Physician maintains each policy with minimum limits of coverage of one (1) million dollars ($1,000,000) per occurrence and three (3) million dollars ($3,000,000) in the aggregate. IPA shall require each IPA Physician upon termination of this Agreement or the termination of an IPA Physician pursuant to Article VI hereof, to either continue his or her liability insurance policy or purchase "tail" insurance covering the period that such IPA Physician provided IPA Services to IPA Members in accordance herewith. Certificates of insurance evidencing compliance with this provision shall be made available to WellCare upon request.
Requirement of Insurance. Grantee shall, at its expense, obtain and maintain during the life of this Agreement the insurance and bond required by this Agreement. Any required insurance and bond shall be effective prior to the beginning of any work by Grantee within the City. The City acknowledges and agrees that Grantee may self-insure. Such self-insurance does not limit the Grantee’s indemnification obligations set forth in Section 27 of this Agreement.
Requirement of Insurance. Beginning at the time any such product, process or service is being commercially distributed or sold by Licensee or by an Affiliate or agent of Licensee, Licensee shall, at its sole cost and expense, and subject to MIT’s approval, procure and maintain commercial general liability insurance in amounts not less than two million dollars ($2,000,000) per incident and three million dollars $3,000,000 annual aggregate and naming the Indemnitees, MIT, MGH, and the MEEI as additional insureds. During clinical trials of any such product, process or service, Licensee shall, at its sole cost and expense, procure and maintain commercial general liability insurance in such equal or lesser amount as LightLab shall require, naming the Indemnitees as additional insureds. Such commercial general liability insurance shall be written by a reputable insurance company authorized to do business in the Commonwealth of Massachusetts and shall provide at least: (i) product liability coverage; and (ii) broad form contractual liability coverage for Licensee’s indemnification under this Agreement. If Licensee elects to self-insure all or part of the limits described above (including deductibles or retentions which are in excess of two hundred and fifty thousand dollars ($250,000) annual aggregate) such self-insurance program must be acceptable to LightLab, MIT, MGH, MEEI, and the Risk Management Foundation, under their sole discretion. The minimum amounts of insurance coverage required shall not be construed to create a limit of Licensee’s liability with respect to its indemnification under this Agreement.

  • Requirements of Insurance All such insurance shall (i) provide that no cancellation, material reduction in amount or material change in coverage thereof shall be effective until at least 30 days after receipt by the Collateral Agent of written notice thereof, (ii) name the Collateral Agent as mortgagee (in the case of property insurance) or additional insured on behalf of the Secured Parties (in the case of liability insurance) or loss payee (in the case of property insurance), as applicable, (iii) if reasonably requested by the Collateral Agent, include a breach of warranty clause and (iv) be reasonably satisfactory in all other respects to the Collateral Agent.

  • Review of insurance requirements The Security Trustee shall be entitled to review the requirements of this Clause 13 from time to time in order to take account of any changes in circumstances after the date of this Agreement which are, in the opinion of the Security Trustee, significant and capable of affecting the Borrowers, the Ships and their Insurances (including, without limitation, changes in the availability or the cost of insurance coverage or the risks to which each Borrower may be subject), and may appoint insurance consultants in relation to this review at the cost of the relevant Borrower.

  • Modification of insurance requirements The Security Trustee shall notify the Borrower of any proposed modification under Clause 13.18 to the requirements of this Clause 13 which the Majority Lenders consider appropriate in the circumstances, and such modification shall take effect on and from the date it is notified in writing to the Borrower as an amendment to this Clause 13 and shall bind the Borrower accordingly.

  • Assignment of Insurance As additional security for the payment and performance of the Obligations, the Borrower hereby assigns to the Lender any and all monies (including, without limitation, proceeds of insurance and refunds of unearned premiums) due or to become due under, and all other rights of the Borrower with respect to, any and all policies of insurance now or at any time hereafter covering the Collateral or any evidence thereof or any business records or valuable papers pertaining thereto, and the Borrower hereby directs the issuer of any such policy to pay all such monies directly to the Lender. At any time, whether or not a Default Period then exists, the Lender may (but need not), in the Lender's name or in the Borrower's name, execute and deliver proof of claim, receive all such monies, endorse checks and other instruments representing payment of such monies, and adjust, litigate, compromise or release any claim against the issuer of any such policy.

  • Form of Insurance The form of the insurance shall be approved by the Director and the City Attorney; such approval (or lack thereof) shall never (a) excuse non-compliance with the terms of this Section, or (b) waive or estop the City from asserting its rights to terminate this Contract. The policy issuer shall (1) have a Certificate of Authority to transact insurance business in Texas, or (2) be an eligible non-admitted insurer in the State of Texas and have a Best's rating of at least B+, and a Best's Financial Size Category of Class VI or better, according to the most current Best's Key Rating Guide.

  • Insurance Requirements Vendor agrees to maintain the following minimum insurance requirements for the duration of this Agreement.   • Maintenance of Insurance Coverage Each party agrees to maintain throughout the term of this Agreement professional liability insurance coverage of the type and amount reasonably customary in its industry. Upon request, a party shall furnish the other party with pertinent information concerning the professional liability insurance coverage that it maintains. Such information shall include the identity of the insurance carrier(s), coverage levels, and deductible amounts.
