Resignations and Releases. Subject to obtaining confirmation that insurance coverage is maintained as contemplated in Section 9(j), Vitran shall use commercially reasonable efforts to obtain and deliver to Purchaser at the Effective Date evidence reasonably satisfactory to Purchaser of the resignation and release of all claims against Vitran and the Vitran Subsidiaries, effective as of the Effective Date, of the directors of Vitran and the Vitran Subsidiaries designated by Purchaser to Vitran prior to the Effective Date.
Resignations and Releases. Prior to the Closing Date, OCG shall use its best efforts to obtain from each of its directors, officers and employees a written resignation and release agreement, substantially in the form attached hereto as Exhibit C, by which each such Person agrees to resign from OCG effective as of the Closing Date and to release OCG and its affiliates from any and all Liability.

In accordance with the proposed organization chart set out in Section 6.2(d) of the GameSquare Disclosure Letter, GameSquare shall make commercially reasonable efforts to secure a resignation and release from such individuals who are not continuing as employees of GameSquare or Engine Gaming following the Effective Time, to be effective as of the Effective Time (in form satisfactory to Engine Gaming, acting reasonably), subject to such individual obtaining a satisfactory release in his or her favour from GameSquare.

Resignations and Releases. Amiram and his wife, Xxxxxx Xxxx, shall sign and deliver resignations from all of their corporate offices and employment (and, in the case of Amiram, as a member of VSUS's Board of Directors as well). Amiram and Xxxxxx Xxxx each are executing, simultaneously herewith, mutual releases with VSUS, including any of its subsidiaries, for all liabilities, debts, expenses, obligations etc. that either owes the other (including any affiliates thereof), except for obligations explicitly set forth in this Agreement or in the other agreements and instruments being executed together with this Agreement (and except for any retirement or severance accounts set aside in her name pursuant to Israeli law). Without limiting the generality of the foregoing, the Employment Agreement between Amiram and VSUS is hereby cancelled, with no obligations thereunder surviving for either party thereto. VSUS will request that Xx. Xxxxx Xxxxx execute a mutual release with Amiram. Amiram and Xxxxxx Xxxx each are also executing simultaneously herewith, mutual acceptable mutual releases with the holders of the Series A Preferred.
Resignations and Releases. Resignations of the officers and directors or other authorized signatories of each of the Holding Entities other than [Redacted], legal representative of Vaaldiam Mining Inc. SA and executed mutual releases from each such individual, substantially in a form to be agreed by the Sellers and the Buyer, acting reasonably, such resignations and releases to be effective as at the Closing Date, and duly executed terminations of all powers of attorney granted to such individuals; provided, however, that the resignation of [Redacted] as legal representative of Vaaldiam Mining Inc. S.A. shall not take effect until such time as his replacement can be appointed pursuant to Legal Requirements in Argentina.
Resignations and Releases. On the Closing Date, the Company shall cause to be delivered to Parent duly signed resignations and releases in substantially the form of Exhibit 8.06 from the members of the boards of directors and officers of each of the Company Entities (the “Resignations and Releases”).
