Responsibilities and Obligations of Party A. 1. Party A should guarantee that the property right of the leasing shops is clear. If there are disputes, Party A should address them.
2. The building should be delivered to Party B when Party A signs the contract.
Responsibilities and Obligations of Party A. (a) Except for the performance of the Option Agreement and the Share Pledge Agreement, Party A represents and warrants to Party B that its proportion of the Sale Equity Interest to be transferred to Party B are free of encumbrances and are together with all rights, benefits, dividends and entitlements attaching thereto at the date of this Agreement, which are free of legal defects and can be claimed against any third party.
(b) Party A shall, within 30 days of the date of this Agreement, make and/or procure the Company to make the necessary applications to the relevant PRC authorities for all necessary approvals and registrations to effect the transfer of Sale Equity Interest contemplated by this Agreement (if applicable). Party A shall use its best endeavors to expedite the process and obtain all such approvals and registrations within the shortest time possible.
Responsibilities and Obligations of Party A. 1. Party A takes charge of design, technical and fabrication work (a separate technical scheme shall be signed with Party B based on the site condition).
2. Except for the core equipment developed by Party A and aerodynamics driven electricity generation system and energy conservation equipment system that are independently owned by Party A, other devices shall be prepared by Party A through purchase. Price of said devices is included in the sum specified in this Agreement. Party A promises that service life of main electricity generation equipment is not less than 25 years (for solar PV panels, refer to the technical standard of the manufacturer).
3. Priority to receive technical upgrade is also transferred to Party B after Party A transfers the project to Party B. Party B is entitled to upgrade at the cost of the preferential price then.
4. During production and installation for the project transferred, where a bidding is needed, Party B can join in the bidding so long as it satisfies bidding conditions. Party A shall determine a supplier on the basis of independency and fairness.
5. Where Party B raises a written request during production and operation, Party A is obliged to offer guidance.
Responsibilities and Obligations of Party A. In addition to other obligations under this Contract, Party A shall have the following responsibilities:
(a) Be responsible for obtaining all necessary approvals, permits and licenses for the establishment of the Company and have the obligation to use its best efforts to obtain all necessary approvals and permits for the ongoing operation of the Company, including but not limited to assisting the Company in obtaining approval from Anhui Provincial Pricing Bureau in connection with the estimated initial tariff and the principle of tariff adjustment as stipulated in the Operation and Offtake Contract;
(b) Assist the Company in conducting negotiations with land administration authority and other relevant government authority in connection with the Company's use of the site and assist in handling all necessary formalities so as to ensure the Company's use of the site in accordance with its scope of business during the entire joint venture term (including the extension of the term thereafter);
(c) Assist the Company in obtaining all infrastructure needed, including external water supply, power supply, fuel, transportation, communications and other services on the most favorable terms and conditions available;
(d) Assist the Company in applying for preferential tax treatment and other investment incentives available under applicable laws and regulations; (e) Assist the Company in obtaining necessary approvals for importing raw materials and machinery equipment, in importing machinery equipment, fuel, materials, supplies and office equipment on preferential terms, in procuring import licenses, in facilitating customs formalities and in arranging for transportation of imported equipment and materials between Chinese ports and the site;
Responsibilities and Obligations of Party A. 9.2.1 Party A shall in a timely manner provide the contractor with the materials necessary to the Project as specified in Technical Appendix-Ⅳ attached hereto;
9.2.2 Party A shall be responsible for the site preparation work;
Responsibilities and Obligations of Party A. 4.1.1 Standard for delivering the factory building: Party A shall ensure that the electric power meets the requirements of 1500KVA, the main entity passes the fire control acceptance, and the factory environment meets the EIA requirements of the project.
4.1.2 According to the rent (including tax price) standard of RMB 20/m2/month, the Project Company shall pay the rent of the factory building based on the agreement of “Rent-free for the first three years and halved for the next two years” (only for the phase I project); the rent of 165 dormitories for three years is exempted (the delivery standard of dormitories is that wall putty is applied, floors are laid on the ground, electric circuits are set up in the houses and basic domestic electricity sockets are installed, water is supplied in the houses and basic domestic water taps are installed, and warm water is provided in the bathrooms of the houses). Party B shall submit written requests to Party A 10 working days in advance before using the dormitory, specifying the number of people and dormitories to be used. The total number of dormitories shall not exceed 165 sets, and the excess expenses shall be borne by Party B.
Responsibilities and Obligations of Party A. 1. Party A shall provide information and materials in connection with the project to Party B;
2. In case of failure in completion on time due to reasons of Party A, Party A shall extend the construction period;
3. Other responsibilities that Party A must bear shall be implemented in accordance with relevant regulations.
Responsibilities and Obligations of Party A. Within 60 days of signing of the State-owned Land Use Right Transfer Contracts and the issue of the State-owned Land Allocation Decisions, the Land Resources Bureau of the demonstration area will transfer the land on an “as-is” basis to Party B. The Investment Service Bureau serves as the initiator of the land transfer, and the Land Resources Bureau, the Planning & Construction Bureau, and the Municipal Administration Bureau are responsible for the land allotment and building line checking based on their own functions.
Responsibilities and Obligations of Party A. Handing over ground of leased office according to its area indicated at Item 1.1-Article 1 of the contract and equipments and technical material facilities installed according to party B’ leased area (Report on handing over premises/property).
Responsibilities and Obligations of Party A. 1. Party A provides necessary support to Party B who is regarded as Xinhua News Agency Client industry exclusive advertising agency and assists Party B to do the advertising merchants and event planning. Special customers can give special preferential, which can help Party B to complete the task of annual advertising agency successfully.
2. Party A is responsible for final examination of Party B’s advertising content and check for the information about politics, facts and technology. Party A has the right to review the advertising contents and the form. Party A has the right to request Party B to make changes to the advertising contents and form of expression which do not conform to laws and regulations. Party A has the right to refuse to release before Party B makes amendment. The Advertisement Law stipulates that Party B must provide the relevant documents to Party A which provides proof to the advertisement publisher. Party A shall have the right to refuse to broadcast or modify the advertisement which does not meet the requirements of Party A.
3. Review of Party A for advertisement contents and form of Party B does not diminish Party B’s responsibility to bear the advertising the legitimacy and compliance, such as any loss suffered of Party A due to illegal advertising content or form provided by Party B or interests infringement of a third party (including but not limited to compensation, the administrative punishment), Party B shall compensate Party A for all the losses.
4. Party A shall arrange advertisement releasing materials in accordance with the advertisement order or creative activity agreement confirmed by both parties. Advertising content material which does not conform to the laws, regulations and national advertising review standards or brings adverse effects, Party A has the right to request Party B to modify or not to publish; the resulting costs shall be borne by Party B.
5. Party A shall, in accordance with the law, meet the requirements of Party B as far as possible. Party A shall issue advertisements according to Party B's requirements, according to the time and place, in accordance with the law, to meet the legitimate needs of Party B as far as possible, and provides help for both sides to cultivate brand advertisers.
