Restricted Use 5.1 Recipient shall maintain and use Material in compliance with all applicable laws, regulations and rules. Material may only be used for internal academic non-profit research. Restricted Use by Licensee Except as expressly authorized by the terms of license, Licensee shall not:
Single User License A Single-User license is for a named individual who is identified as the only Authorized User. This user is not permitted to re-assign, transfer, or sublicense the software, except as described in Section 5, Transfer. This user may install and use the software on up to three computers, as long as the single-user Customer is the sole user of the software. If the computer on which this Software is loaded is attached to a network, this Software must not be accessible by any other user on such network. Single-user licenses may not be installed or used in a virtualized environment in order to or in a manner that circumvents the single user license type.
Permitted Users Client may access and use only the Course Materials to which Client has subscribed, and such access and use is limited to the number of users identified in the Order Form and any subsequent Orders placed under an Order Form, and for the Contract Term. Orders for additional Subscriptions may be agreed by the parties from time to time under a particular Order Form, and shall set forth the number of additional Subscriptions, the total Subscription Fees payable therefore, and any other terms and conditions relating to such Order (each, an “Order”). Each Order Form and each Order, upon execution by both parties, shall form a part of this Agreement, and shall be subject to all of the terms and conditions hereof. An Order may take the form of a supplementary document signed by each party or acknowledged by each party electronically (whether by facsimile transmission, email or by other similar reliable means evidencing the intent of the parties). Each Order shall be subject to the terms of this Agreement and shall be incorporated herein by reference. A Subscription is limited to use by one individual user and may not be transferred to another user.
Permitted Uses Tenant may use the Property only for the Permitted Uses set forth in Section 1.06 above.
Restricted Use By Third Parties Third parties retained by Licensee shall have the right to use the Product to maintain Licensee’s business operations, including data processing, for the time period that they are engaged in such activities, provided that: (i) Licensee gives notice to Contractor of such third party, Site of intended use of the Product, and means of access; and (ii) such third party has executed, or agrees to execute, the Product manufacturer’s standard nondisclosure or restricted use agreement, which executed agreement shall be accepted by the Contractor (“Non-Disclosure Agreement”); and (iii) such third party maintains a logical or physical partition within its computer system so as to restrict use and access to the program to that portion solely dedicated to beneficial use for Licensee. In no event shall Licensee assume any liability for third party’s compliance with the terms of the Non-Disclosure Agreement, nor shall the Non- Disclosure Agreement create or impose any liabilities on the State or Licensee.
Supported Uses Subscription Services are provided for Software only when used for its supported purpose (“Use Case”) in accordance with the terms of this Exhibit and Table 1.2 below.
