Restrictions on Customer. (a) Except as expressly permitted by this Agreement, Customer will not (and will not allow any anyone else to): (i) reverse engineer, decompile, or attempt to discover any source code or underlying ideas or algorithms of the Product (except to the extent Applicable Laws prohibit this restriction); (ii) provide, sell, transfer, sublicense, lend, distribute, rent, or otherwise allow others to access or use the Product; (iii) remove any proprietary notices or labels; (iv) copy, modify, or create derivative works of the Product; (v) conduct security or vulnerability tests on, interfere with the operation of, cause performance degradation of, or circumvent access restrictions of the Product; (vi) access accounts, information, data, or portions of the Product to which Customer does not have explicit authorization; (vii) use the Product to develop a competing service or product; (viii) use the Product with any High Risk Activities or with activity prohibited by Applicable Laws; (ix) use the Product to obtain unauthorized access to anyone else’s networks or equipment; or (x) upload, submit, or otherwise make available to the Product any Customer Content to which Customer and Users do not have the proper rights. (b) Customer’s use of the Product must comply with all Documentation and the Acceptable Use Policy, if any.

Restrictions on Customer. Customer must not: (a) take any steps to register any rights included in Contract Manufacturer’s Intellectual Property or any rights that are: (i) deceptively similar to Contract Manufacturer’s Intellectual Property rights; and/or (ii) capable of misleading others to believing that such rights are associated with Contract Manufacturer and/or Contract Manufacturer’s Intellectual Property. (b) use any of Contract Manufacturer’s Intellectual Property as part of any corporate, trade or business name; or (c) do anything which would in any way infringe, call in question or lessen the validity or value of Contract Manufacturer’s Intellectual Property.
Restrictions on Customer. Customer shall not develop applications for internal use with SFDC Services made available by ADvendio. Customer may develop applications for internal use with SFDC Services only when purchased directly from SFDC. Customer cannot extend the SFDC Services using additional custom objects, and their use of the SFDC Services in connection with ADvendio On-Demand Service is limited to the objects and functionalities included in the ADvendio On-Demand Service, and those functionalities of the Platform strictly necessary for the operation of the ADvendio On-Demand Service. Subscriptions to the ADvendio On-Demand Service cannot be joined with an existing SFDC Org. Where such a combination is required, Customer must procure the necessary subscriptions directly from SFDC to support, operate and run the ADvendio On-Demand Service. Should Customer wish to upgrade its SFDC Service subscriptions contained as a part of the ADvendio On- Demand Service to full SFDC Xxxxx.xxx Edition subscriptions, such upgrade subscriptions shall be made available directly by SFDC.
Restrictions on Customer. 4.1 Customer must not, without the prior written consent of Supplier: (a) incur any liability or accept any obligations on behalf of Supplier; (b) alter, obscure, remove, conceal or otherwise interfere with any marking, nameplate or label on the Products including, but not limited to, any marking, nameplate or label indicating the source or origin of the Products; (c) make, or authorise the making of, any reproduction of the Products, or any part of them; (d) make any representation, or give any warranty, in relation to the Products; (e) do anything which will have or is likely to have an adverse effect on the reputation of any of the Products and/or of Supplier; (f) directly or indirectly, distribute or sell any of the Products outside the Territory; or (g) directly or indirectly sell any of the Products to any person that it knows, ought to know, or suspects will distribute or sell any of the Products outside the Territory.
Restrictions on Customer. Customer shall operate its business and maintain the Terminal in compliance with all Environmental Laws. Customer shall not cause or permit the use, generation, release, manufacture, refining, production, processing, storage or disposal of any Hazardous Substances on, under or about the Terminal, or the transportation to or from the Terminal of any Hazardous Substances, except as necessary and appropriate for its Permitted Use in which case the use, storage or disposal of such Hazardous Substances shall be performed in compliance with the Environmental Laws and the highest standards prevailing in the industry

  • Restrictions on Use Tenant shall use the Premises and Landlord’s Equipment in a careful, safe and proper manner, shall not commit or suffer any waste on or about Landlord’s Property or with respect to Landlord’s Equipment, and shall not make any use of Landlord’s Property and/or Landlord’s Equipment which is prohibited by or contrary to any laws, rules, regulations, orders or requirements of public authorities, or which would cause a public or private nuisance. Tenant shall comply with and obey all laws, rules, regulations, orders and requirements of public authorities which in any way affect the use or operation of Landlord’s Equipment and the use, operation or occupancy of Landlord’s Property. Tenant, at its own expense, shall obtain any and all permits, approvals and licenses necessary for use of the Landlord’s Equipment and the Premises (copies of which shall be provided to the Landlord), provided that Landlord shall be responsible for obtaining a certificate of occupancy for the Building generally (i.e., as opposed to a certificate of occupancy for the Premises after the performance of any work by Tenant, which shall be Tenant’s responsibility) and any other permits, approvals and licenses necessary generally for the use of Landlord’s Equipment and Landlord’s Property. Tenant shall not overload the floors or other structural parts of the Building; and shall not commit or suffer any act or thing on Landlord’s Property which is illegal, unreasonably offensive, unreasonably dangerous, or which unreasonably disturbs other tenants. Tenant shall not knowingly do or permit to be done any act or thing on Landlord’s Property or with Landlord’s Equipment which will invalidate or be in conflict with any insurance policies, or which will increase the rate of any insurance, covering the Building. If, because of Tenant’s failure to comply with the provisions of this Section or due to any use of the Premises or activity of Tenant in or about Landlord’s Property, the Insurance Costs are increased, Tenant shall pay Landlord the amount of such increase caused by the failure of Tenant to comply with the provisions of this Section or by the nature of Tenant’s use of the Premises. Tenant shall cause any fire lanes in the front, sides and rear of the Building to be kept free of all parking associated with its business or occupancy and in compliance with all applicable regulations. Tenant shall conduct its business at all times so as not to annoy or be offensive to other tenants and occupants in Landlord’s Property. Tenant shall not permit the emission of any objectionable noise or odor from the Premises and shall at its own cost install such extra sound proofing or noise control systems and odor control systems, as may be needed to eliminate unreasonable noise, vibrations and odors, if any, emanating from the Premises being heard, felt or smelled outside the Premises. Tenant shall not place any file cabinets bookcases, partitions, shelves or other furnishings or equipment in a location which abuts or blocks any windows.

  • Restrictions on Lobbying The subrecipient shall not use funds made available to it under this Agreement to pay for, influence, or seek to influence any officer or employee of a State or Federal government.
