Restrictions on Use of the Data. Subscriber shall not (and shall not authorize or knowingly permit any third party to) make any use or disclosure of the Data that is not expressly permitted under this Agreement. Without limiting the foregoing, Subscriber shall not (and shall not authorize or knowingly permit any third party to): (i) publish the Data, in whole or in part; or (ii) resell, distribute, or sublicense the Data. Notwithstanding the foregoing, it shall not be a breach of this Section 1.3 for Subscriber to permit its third-party cloud services provider to host the Data on Subscriber’s behalf in the normal course of business, provided such third-party cloud services provider is obligated, by written contract with Subscriber, to maintain reasonable safeguards to protect the security and confidentiality of the Data.

Restrictions on Use of the Data. 4.1 Any commercial use of the Data, in whole or in part, is prohibited except with the Licensor’s prior written permission. For instance, you may not, without the Licensor’s prior written permission: a. embed or merge the Data with any applications, or other data or information in any form; b. publish the Data in any form, in whole or in part; or c. engage in "screen scraping" or any other activity intended to collect, store, reorganize or manipulate the Data. 4.2 In consideration of the rights and licences granted under this Agreement, the Licensee must attain approval by entering into a Secondary Use License Agreement with the Licensor prior to redistributing for profit any portion of the Licensors’ Data whether in whole, in part, or as part of another dataset or application.
Restrictions on Use of the Data. In relation to the Data, the Licensee may not: (a) Modify the Data. For the avoidance of doubt, this means that the vector data, names or SUFIs (Static or Stable Unique Feature Identifier) in the Data may not be changed or altered in any way, except that changes to the format of text and reprojection of the Data are allowed. (b) Reverse engineer, disassemble or decompose or build a like or similar product. (c) Sell, lease or otherwise provide or distribute the Data for commercial gain to third parties. For the avoidance of doubt, the Data may be distributed free of charge to third parties in accordance with clause 8.

The Data may not be distributed (whether for evaluation or demonstration purposes or otherwise) or sold to End Users (whether directly or through the Licensee’s authorised dealers and resellers) other than: i. as part of Licensee Software; and ii. to End Users who have entered into an End User Agreement containing the terms set out in section 7(a). b. The Licensee must, for the benefit of the person named in the relevant disclaimer or copyright notice, include in any copy of the Data or the Licensee Software any disclaimer or copyright notice which is included in the Data as provided to the Licensee (or on the media on which the Data is provided to the Licensee). c. Any Data distributed or made available to End Users must be still available for the Licensee’s use as set out in clause 2.2 of the Common Terms and Conditions.

  • Restrictions on Use Tenant shall use the Premises and Landlord’s Equipment in a careful, safe and proper manner, shall not commit or suffer any waste on or about Landlord’s Property or with respect to Landlord’s Equipment, and shall not make any use of Landlord’s Property and/or Landlord’s Equipment which is prohibited by or contrary to any laws, rules, regulations, orders or requirements of public authorities, or which would cause a public or private nuisance. Tenant shall comply with and obey all laws, rules, regulations, orders and requirements of public authorities which in any way affect the use or operation of Landlord’s Equipment and the use, operation or occupancy of Landlord’s Property. Tenant, at its own expense, shall obtain any and all permits, approvals and licenses necessary for use of the Landlord’s Equipment and the Premises (copies of which shall be provided to the Landlord), provided that Landlord shall be responsible for obtaining a certificate of occupancy for the Building generally (i.e., as opposed to a certificate of occupancy for the Premises after the performance of any work by Tenant, which shall be Tenant’s responsibility) and any other permits, approvals and licenses necessary generally for the use of Landlord’s Equipment and Landlord’s Property. Tenant shall not overload the floors or other structural parts of the Building; and shall not commit or suffer any act or thing on Landlord’s Property which is illegal, unreasonably offensive, unreasonably dangerous, or which unreasonably disturbs other tenants. Tenant shall not knowingly do or permit to be done any act or thing on Landlord’s Property or with Landlord’s Equipment which will invalidate or be in conflict with any insurance policies, or which will increase the rate of any insurance, covering the Building. If, because of Tenant’s failure to comply with the provisions of this Section or due to any use of the Premises or activity of Tenant in or about Landlord’s Property, the Insurance Costs are increased, Tenant shall pay Landlord the amount of such increase caused by the failure of Tenant to comply with the provisions of this Section or by the nature of Tenant’s use of the Premises. Tenant shall cause any fire lanes in the front, sides and rear of the Building to be kept free of all parking associated with its business or occupancy and in compliance with all applicable regulations. Tenant shall conduct its business at all times so as not to annoy or be offensive to other tenants and occupants in Landlord’s Property. Tenant shall not permit the emission of any objectionable noise or odor from the Premises and shall at its own cost install such extra sound proofing or noise control systems and odor control systems, as may be needed to eliminate unreasonable noise, vibrations and odors, if any, emanating from the Premises being heard, felt or smelled outside the Premises. Tenant shall not place any file cabinets bookcases, partitions, shelves or other furnishings or equipment in a location which abuts or blocks any windows.

  • Restrictions on U.S Transfers. Transfers of interests in the Regulation S Global Security to U.S. persons (as defined in Regulation S) shall be limited to transfers made pursuant to the provisions of Section 3.03(h)(C).

  • General Restrictions on Use Advisor agrees to hold all Proprietary Information in confidence and not to, directly or indirectly, disclose, use, copy, publish, summarize, or remove from Company's premises any Proprietary Information (or remove from the premises any other property of Company), except (i) during the consulting relationship to the extent authorized and necessary to carry out Advisor's responsibilities under this Agreement, and (ii) after termination of the consulting relationship, only as specifically authorized in writing by Company.   • Limitations on Use No part of the moneys delivered to the Recipient pursuant to Section II hereof is being or will be used to refinance, retire, redeem, or otherwise pay debt service on all or any part of any part of any governmental obligations regardless of whether the interest on such obligations is or was excluded from gross income for federal income tax purposes unless prior approval by the Director is given.

  • Restriction on Use The Contractor agrees that to the extent it receives or is given any information from NYSERDA or a NYSERDA contractor or subcontractor, the Contractor shall treat such data in accordance with any restrictive legend contained thereon or instructions given by NYSERDA, unless another use is specifically authorized by prior written approval of the NYSERDA Project Manager. Contractor acknowledges that in the performance of the Work under this Agreement, Contractor may come into possession of personal information as that term is defined in Section 92 of the New York State Public Officers Law. Contractor agrees not to disclose any such information without the consent of NYSERDA.
