Retention of Key Personnel. Seller and Shareholders will assist Buyer to identify and hire key operating personnel of the Business.

Any retention plan or retention-related mechanism for employees of Credit Suisse Group’s employees shall be subject to UBS’ prior written agreement.

The persons listed on Schedule 10.5 shall have entered into employment agreements in substantially the form attached hereto as Exhibits G-1 through G-6 as applicable (the "Employment Agreements"). The parties acknowledge that the confidentiality and non-interference provisions of the Employment Agreements are a material inducement for AMS to enter into this Agreement and Plan of Merger, and AMS acknowledges that its recourse for any breach of the Employment Agreements shall be against the employee and not against the Escrow Fund.
