Retention of Key Personnel. Seller and Shareholders will assist Buyer to identify and hire key operating personnel of the Business.
Retention of Key Personnel. DURECT shall use its reasonable efforts to retain key personnel involved with the development of the Product. Such key personnel shall be those individuals identified as such by the JEC. In the event that a member of the key personnel leaves the employ of DURECT (either on his/her own volition or otherwise), DURECT shall, within three (3) business days of such departure, inform Endo of (1) such fact and (2) DURECT’s plan as to how it intends to address the departure of such key personnel to ensure the smooth continuance of the Development Program.”
Retention of Key Personnel. None of Xxxx XxXxxxx, Xxx Xxxxxxxx, Xxxxx Xxxxx or Xxxxxxx Xxxxx shall have terminated their respective positions with the Company.
Retention of Key Personnel. None of the key management personnel of the Company identified on Schedule 7.10 shall have terminated his or her respective position with the Company.
Retention of Key Personnel. The persons listed on Schedule 10.5 shall have entered into employment agreements in substantially the form attached hereto as Exhibits G-1 through G-6 as applicable (the "Employment Agreements"). The parties acknowledge that the confidentiality and non-interference provisions of the Employment Agreements are a material inducement for AMS to enter into this Agreement and Plan of Merger, and AMS acknowledges that its recourse for any breach of the Employment Agreements shall be against the employee and not against the Escrow Fund.
Retention of Key Personnel. The Surviving Corporation shall have executed and delivered the Employment Agreements.
Retention of Key Personnel. None of the Sellers shall have terminated their respective positions with ADCM or with any of the other ADCM Companies that employ any of the Sellers.

Retention of Key Personnel. Credit Suisse undertakes to use commercially reasonable effort to retain key personnel as designated by UBS until Completion. Any retention plan or retention-related mechanism for employees of Credit Suisse Group’s employees shall be subject to UBS’ prior written agreement.
Retention of Key Personnel. The Contractor shall ensure that each of the Key Personnel (each a Key Person) devotes substantially their whole time to the provision of the Services and performance of the Contractor's other obligations under this Agreement.
