Return of Information and Materials. The Parties will return (or destroy, as directed by the other Party) all data, files, records and other materials containing or comprising the other Party’s Confidential Information. Notwithstanding the foregoing, the Parties will be permitted to retain one copy of such data, files, records, and other materials for archival and legal compliance purposes.

All Confidential Information shall continue to be subject to the terms of this Agreement for the period set forth in ARTICLE 12.

Upon early termination of this Agreement, each Party will return to the other all Confidential Information of the other Party (except one copy of which may be retained for archival and compliance purposes), RedHill will return to IntelGenx or its designee all Licensed Know-How and any other tangible materials received by RedHill under this Agreement and RedHill will further waive and actively deregister or assign as requested by IntelGenx, all Patent right registrations made hereunder.
Return of Information and Materials. All documents and other tangible objects provided to Consultant by or on behalf of Tokai or generated by Consultant containing or representing Confidential Information, and all copies thereof, which are in possession of Consultant, shall, as between Tokai and Consultant, be and remain the property of Tokai and, at Tokai’s request, shall be promptly returned to Tokai or destroyed, as directed in writing by Tokai, and, upon Tokai’s written request, any memoranda, notes, reports and the like generated by Consultant and incorporating such Confidential Information shall be destroyed.
Return of Information and Materials. Following a termination or expiration of this PFS Contract, each Party will immediately return to the other Party all Confidential Information in its possession or in the possession or under the control of any of their employees which relates to the PFS Contract, or certify as to the destruction of such materials.
