Common use of Reviews Clause in Contracts

Reviews. (a) During the term of this Agreement and for seven years after the term of this Agreement, the HSP agrees that the LHIN or its authorized representatives may conduct a Review of the HSP to confirm the HSP’s fulfillment of its obligations under this Agreement. For these purposes the LHIN or its authorized representatives may, upon twenty-four hours’ Notice to the HSP and during normal business hours enter upon the HSP’s premises to: (1) inspect and copy any financial records, invoices and other finance- related documents, other than personal health information as defined in subsection 31(5) of the CFMA, in the possession or under the control of the HSP which relate to the Funding or otherwise to the Services; and (2) inspect and copy non-financial records, other than personal health information as defined in subsection 31(5) of the CFMA, in the possession or under the control of the HSP which relate to the Funding, the Services or otherwise to the performance of the HSP under this Agreement. (b) The cost of any Review will be borne by the HSP if the Review: (1) was made necessary because the HSP did not comply with a requirement under the Act or this Agreement; or (2) indicates that the HSP has not fulfilled its obligations under this Agreement, including its obligations under Applicable Law and Applicable Policy. (c) To assist in respect of the rights set out in (a) above, the HSP shall disclose any information requested by the LHIN or its authorized representatives, and shall do so in a form requested by the LHIN or its authorized representatives. (d) The HSP may not commence a proceeding for damages or otherwise against any person with respect to any act done or omitted to be done, any conclusion reached or report submitted that is done in good faith in respect of a Review. (e) HSP’s obligations under this section 8.2 will survive any termination or expiration of this Agreement.

(c) To assist in respect of the rights set out in (a) above, the HSP shall disclose any information requested by the LHIN or its authorized representatives, and shall do so in a form requested by the LHIN or its authorized representatives. (d) The HSP may not commence a proceeding for damages or otherwise against any person with respect to any act done or omitted to be done, any conclusion reached or report submitted that is done in good faith in respect of a Review. (e) HSP’s obligations under this section 8.2 will survive any termination or expiration of this Agreement.

For these purposes the LHIN Funder or its authorized representatives may, upon twenty-four 24 hours’ Notice to the HSP and during normal business hours enter upon the HSP’s premises including any one or more Homes, to: (1) inspect and copy any financial records, invoices and other finance- finance-related documents, other than personal health information as defined in subsection 31(5) of the CFMAEnabling Legislation, in the possession or under the control of the HSP which relate to the Funding or otherwise to the Services; and (2) inspect and copy non-financial records, other than personal health information as defined in subsection 31(5) of the CFMAEnabling Legislation, in the possession or under the control of the HSP which relate to the Funding, the Services or otherwise to the performance of the HSP under this Agreement. (b) The cost of any Review will be borne by the HSP if the Review: Review (1) was made necessary because the HSP did not comply with a requirement under the Act or this Agreement; or (2) indicates that the HSP has not fulfilled its obligations under this Agreement, including its obligations under Applicable Law and Applicable Policy. (c) To assist in respect of the rights set out in (a) above, above the HSP shall disclose any information requested by the LHIN Funder or its authorized representatives, and shall do so in a form requested by the LHIN Funder or its authorized representatives. (c) To assist in respect of the rights set out in (ab) above, the HSP shall disclose any information requested by the LHIN or its authorized representatives, and shall do so in a form requested by the LHIN or its authorized representatives. (d) The HSP may not commence a proceeding for damages or otherwise against any person with respect to any act done or omitted to be done, any conclusion reached or report submitted that is done in good faith in respect of a ReviewReview required by the LHIN under the Act or this Agreement. (e) HSP’s obligations under this section 8.2 paragraph will survive any termination or expiration of this the Agreement.

(c) To assist in respect of the rights set out in (ab) above, above the HSP shall disclose any information requested by the LHIN or its authorized representatives, and shall do so in a form requested by the LHIN or its authorized representatives. Reviews. (1) if received within 7 Days after the due date, incomplete or inaccurate, the financial penalty will be the greater of (1) a reduction of 0.02 percent (0.02%) of the Funding; or (2) two hundred and fifty dollars ($250.00); and (2) for every full or partial week of non-compliance thereafter, the rate will be one half of the initial reduction. (a) During the term of this Agreement and for seven 7 years after the term of this Agreement, the HSP agrees that the LHIN Funder or its authorized representatives may conduct a Review of the HSP to confirm the HSP’s fulfillment of its obligations under this Agreement. For these purposes the LHIN Funder or its authorized representatives may, upon twenty-four 24 hours’ Notice to the HSP and during normal business hours enter upon the HSP’s premises to: (1) inspect and copy any financial records, invoices and other finance- related documents, other than personal health information as defined in subsection 31(5) of the CFMAEnabling Legislation, in the possession or under the control of the HSP which relate to the Funding or otherwise to the Services; and (2) inspect and copy non-financial records, other than personal health information as defined in subsection 31(5) of the CFMAEnabling Legislation, in the possession or under the control of the HSP which relate to the Funding, the Services or otherwise to the performance of the HSP under this Agreement. (b) The cost of any Review will be borne by the HSP if the Review: Review (1) was made necessary because the HSP did not comply with a requirement under the Act or this Agreement; or (2) indicates that the HSP has not fulfilled its obligations under this Agreement, including its obligations under Applicable Law and Applicable Policy. (c) To assist in respect of the rights set out in (a) above, above the HSP shall disclose any information requested by the LHIN Funder or its authorized representatives, and shall do so in a form requested by the LHIN Funder or its authorized representatives. (d) The HSP may not commence a proceeding for damages or otherwise against any person with respect to any act done or omitted to be done, any conclusion reached or report submitted that is done in good faith in respect of a Review. (e) HSP’s obligations under this section 8.2 will survive any termination or expiration of this Agreement.

Reviews. (a) During the term of this Agreement and for seven 7 years after the term of this Agreement, the HSP agrees that the LHIN Funder or its authorized representatives may conduct a Review of the HSP to confirm the HSP’s fulfillment of its obligations under this Agreement. For these purposes the LHIN Funder or its authorized representatives may, upon twenty-four 24 hours’ Notice to the HSP and during normal business hours enter upon the HSP’s premises to: (1) inspect and copy any financial records, invoices and other finance- finance-related documents, other than personal health information as defined in subsection 31(5) of the CFMAEnabling Legislation, in the possession or under the control of the HSP which relate to the Funding or otherwise to the Services; and (2) inspect and copy non-financial records, other than personal health information as defined in subsection 31(5) of the CFMAEnabling Legislation, in the possession or under the control of the HSP which relate to the Funding, the Services or otherwise to the performance of the HSP under this Agreement. (b) The cost of any Review will be borne by the HSP if the Review: (1) was made necessary because the HSP did not comply with a requirement under the Act Enabling Legislation or this Agreement; or (2) indicates that the HSP has not fulfilled its obligations under this Agreement, including its obligations under Applicable Law and Applicable Policy. (c) To assist in respect of the rights set out in (a) above, the HSP shall disclose any information requested by the LHIN Funder or its authorized representatives, and shall do so in a form requested by the LHIN Funder or its authorized representatives. (d) The HSP may not commence a proceeding for damages or otherwise against any person with respect to any act done or omitted to be done, any conclusion reached or report submitted that is done in good faith in respect of a Review. (e) HSP’s obligations under this section 8.2 will survive any termination or expiration of this Agreement.

Reviews. for every full or partial week of non-compliance thereafter, the rate will be one half of the initial reduction. (b) The cost of any Review will be borne by the HSP if the Review: Review (1) was made necessary because the HSP did not comply with a requirement under the Act or this Agreement; or (2) indicates that the HSP has not fulfilled its obligations under this Agreement, including its obligations under Applicable Law and Applicable Policy. (e) HSP’s obligations under this section 8.2 will survive any termination or expiration of this Agreement.. LONG-TERM CARE HOME SERVICE ACCOUNTABILITY AGREEMENT APRIL 1, 2019 — MARCH 31, 2022

Reviews. (a) During the term of this Agreement and for seven 7 years after the term of this Agreement, the HSP agrees that the LHIN or its authorized representatives may conduct a Review of the HSP and any one or more of the Homes, to confirm the HSP’s fulfillment of its obligations under this Agreement. For these purposes the LHIN or its authorized representatives may, upon twenty-four 24 hours’ Notice to Noticeto the HSP and during normal business hours enter upon the HSP’s premises including any one or more Homes, to: (1) inspect and copy any financial records, invoices and other finance- finance-related documents, other than personal health information otherthanpersonalhealthinformation as defined in subsection 31(5) of the CFMALHSIA, in the possession or under the control of the HSP which relate to the Funding or otherwise to the Services; , and (2) inspect and copy non-financial records, other than personal health information as defined in subsection 31(5) of the CFMALHSIA, in the possession or under the control of the HSP which relate to the Funding, the Services or otherwise to the performance of the HSP under this Agreement. (b) The cost of any Review will be borne by the HSP if the Review: Review (1) was made necessary because the HSP did not comply with a requirement under the Act or this Agreement; or (2) indicates that the HSP has not fulfilled its obligations under this Agreement, including its obligations under Applicable Law and Applicable Policy. (c) To assist in respect of the rights set out in (a) above, above the HSP shall disclose any information requested by the LHIN or its authorized representatives, and shall do so in a form requested by the LHIN or its authorized representatives. (d) The HSP may not commence a proceeding for damages or otherwise against any person with respect to any act done or omitted to be done, any conclusion reached or report submitted that is done in good faith in respect of a Review. (e) HSP’s obligations under this section 8.2 will survive any termination or expiration of this Agreement.

Reviews. a. if received within 7 Days after the due date, incomplete or inaccurate, the financial penalty will be the greater of (1) a reduction of 0.02 percent (0.02%) of the Funding; or (2) two hundred and fifty dollars ($250.00); and b. for every full or partial week of non-compliance thereafter, the rate will be one half of the initial reduction. (a) During the term of this Agreement and for seven 7 years after the term of this Agreement, the HSP agrees that the LHIN or its authorized representatives may conduct a Review of the HSP to confirm the HSP’s fulfillment of its obligations under this Agreement. (b) The cost of any Review will be borne by the HSP if the Review: (1) was made necessary because the HSP did not comply with a requirement under the Act LHSIA or this Agreement; or (2) indicates that the HSP has not fulfilled notfulfilled its obligations under this Agreement, including its obligations under Applicable Law and Applicable Policy. (c) To assist in respect of the rights set out in (a) above, the HSP shall disclose any information requested by the LHIN or its authorized representatives, and shall do so in a form requested by the LHIN or its authorized representatives. (d) The HSP may not maynot commence a proceeding for proceedingfor damages or otherwise against any person with respect to any act done or omitted to be done, any conclusion reached or report submitted that is done in good faith in respect of a Review. (e) HSP’s obligations under this section 8.2 will survive any termination or expiration of this Agreement.. MULTI-SECTOR SERVICE ACCOUNTABILITY AGREEMENT APRIL 1, 2019 — MARCH 31, 2022

Reviews. (a) During the term of this Agreement and for seven (7) years after the term of this Agreement, the HSP agrees that the LHIN or its authorized representatives may may, conduct a Review of the HSP to confirm the HSP’s 's fulfillment of its obligations under this Agreement. For these purposes the LHIN or its authorized representatives may, upon twenty-four hours’ ' Notice to the HSP and during normal business hours enter upon the HSP’s 's premises to: (1i) inspect and copy any financial records, invoices and other finance- financially­ related documents, other than personal health information as defined in subsection 31(531 (5) of the CFMA, in the possession or under the control of Central Community Care Access Centre Page 15 of 53 the HSP which relate to the Funding or otherwise to the Services; and (2Ii) inspect and copy non-financial records, other than personal health information as defined in subsection 31(531 (5) of the CFMA, in the possession or under the control of the HSP which relate to the Funding, the Services or otherwise to the performance of the HSP under this Agreement. (b) The cost of any Review will be borne by the HSP if the Review: If it (1i) was made necessary because the HSP did not comply with a requirement under the Act or this Agreement; or (2Ii) indicates It determines that the HSP has not fulfilled its obligations under this Agreement, including its obligations under Applicable Law and Applicable Policy. (c) To assist in respect of the rights set out in (ab) above, the HSP shall disclose any information requested by the LHIN or its authorized representatives, and shall do so in a form requested by the LHIN or its authorized representatives. (d) The HSP may not commence a proceeding for damages or otherwise against any person with respect to any act done or omitted to be done, any conclusion reached or report submitted that is done in good faith in respect of a ReviewReview required by the LHIN under the Act or this Agreement. (e) HSP’s 's obligations under this section 8.2 paragraph will survive any termination or expiration of this the Agreement.

Reviews. (a) During the term of this Agreement and for seven (7) years after the term of this Agreement, the HSP NISA agrees that CMHA or the LHIN or its authorized representatives may may, conduct a Review of the HSP NISA to confirm the HSPNISA’s fulfillment of its obligations under this Agreement. For these purposes CMHA or the LHIN or its authorized representatives may, upon twenty-four hours’ Notice to the HSP NISA and during normal business hours enter upon the HSPNISA’s premises to: (1i) inspect and copy any financial records, invoices and other finance- financially-related documents, other than personal health information as defined in subsection 31(5) of the CFMA, in the possession or under the control of the HSP NISA which relate to the Funding or otherwise to the Services; and (2ii) inspect and copy non-financial records, other than personal health information as defined in subsection 31(5) of the CFMA, in the possession or under the control of the HSP NISA which relate to the Funding, the Services or otherwise to the performance of the HSP NISA under this Agreement. (b) The cost of any Review will be borne by the HSP NISA if the Review: it (1i) was made necessary because the HSP NISA did not comply with a requirement under the Act or this Agreement; or (2ii) indicates it determines that the HSP NISA has not fulfilled its obligations under this Agreement, including its obligations under Applicable Law and Applicable Policy. (c) To assist in respect of the rights set out in (ab) above, the HSP NISA shall disclose any information requested by CMHA or the LHIN or its authorized representatives, and shall do so in a form requested by CMHA or the LHIN or its authorized representatives. (d) The HSP NISA may not commence a proceeding for damages or otherwise against any person with respect to any act done or omitted to be done, any conclusion reached or report submitted that is done in good faith in respect of a ReviewReview required by CMHA or the LHIN under the Act or this Agreement. (e) HSPNISA’s obligations under this section 8.2 paragraph will survive any termination or expiration of this the Agreement.
