Right to Control Resolution. COMPANY will have the sole right and discretion to settle, compromise or otherwise resolve any and all claims, causes of actions, liabilities or damages against it, notwithstanding that COMPANY may have tendered its defense to BUSINESS ASSOCIATE. Any such resolution will not relieve BUSINESS ASSOCIATE of its obligation to indemnify COMPANY under this Section 3.3.

Right to Control Resolution. Notwithstanding that the State may have tendered its defense to the Contractor, neither party shall settle, compromise or resolve any claims, causes of action, liabilities or damages against the State without the consent of the other party, which consent shall not be unreasonably withheld. Any such resolution shall not relieve the Contractor of its obligation to indemnify the State.

Right to Control Resolution. Horizon will have the sole right and discretion to settle, compromise or otherwise resolve any and all claims, causes of actions, liabilities or damages against it, notwithstanding that Horizon may have tendered its defense to Business Associate. Any such resolution will not relieve Business Associate of its obligation to indemnify Horizon under this Agreement.

Any such resolution will not relieve the indemnifying Party of its obligation to indemnify pursuant to this Article VI.
